    Inderdaad stil op het forum. Volume ligt ver onder gemiddelde. Iedereen lijkt in afwachting van de cijfers. Komende 2 weken zal er weinig te beleven zijn. Ik verwacht dat AMG na half maart weer een mooie stijging laat zien op basis van de cijfers.

    Nagenoeg geen handel vandaag, m.n na 14.30 nog geen 1000 aandelen verhandeld.(dat is dus in 45 min).Heb net een order geplaatst maar in dit tempo, zal ik die niet krijgen voor de Dow open is. Afijn, nog maar even steunen en weerstanden: 1e (belangrijke) steun 8,90, daarna 8,75.Weerstanden :1e 9,73, daarna 10,00 , daarna 10,70

    AMG announces voluntary tender offer for Graphit Kropfmühl

    Amsterdam, 29 February 2012 --- AMG Advanced Metallurgical Group N.V.'s, ("AMG", EURONEXT AMSTERDAM: "AMG") wholly owned subsidiary, AMG Invest GmbH ("AMG Invest") has commenced the preparation of a voluntary public tender offer (the "Voluntary Tender") pursuant to the German Securities Acquisition and Tender Act to acquire all non-par value bearer shares in Graphit Kropfmühl AG, ("GK") Hauzenberg, Germany. AMG Invest will publish the Voluntary Tender document following approval of the German Federal Financial Supervisory Authority ("BaFin").

    AMG Invest currently owns 88.15% of GK's shares. AMG Invest is offering €31.75 per share for the 341,321 GK shares that it does not own. The €31.75 price for the GK shares is a 29% premium compared to the current market price and a 37% premium to GK's fair market value as determined by Warth & Klein Grant Thornton AG under the IDW Standard S1 of the Institute of Public Auditors in Germany. The Voluntary Tender is expected to be completed during the second quarter of 2012. AMG intends to finance the Voluntary Tender from available balance sheet resources.

    Upon acquiring the required amount of GK shares outstanding, AMG intends to initiate a squeeze out of the remaining minority shareholders with a goal to own 100% of GK. GK's vertically integrated high purity natural graphite business, with mines in Europe, Asia and Africa, is a key component in the previously announced formation of AMG Mining. Upon successful completion of the Voluntary Tender, AMG will begin segment reporting of AMG Mining's financial results, including the antimony mining, concentration and smelting operations in Turkey and antimony trioxide operations in France, and the tantalum and niobium mining operations in Brazil. The formation of this new operating structure will streamline the management and financing of AMG Mining's vertical integration expansion strategy.

    Credit Facility Expansion

    In conjunction with the Voluntary Tender, AMG is in the process of exercising the incremental term and revolving facility feature of its primary multicurrency term loan and revolving credit facility and securing approximately $62 million in incremental credit from its banking consortium. Upon successful completion of the Voluntary Tender, AMG's total credit facility will be a U.S. dollar equivalent $377 million. The incremental borrowing costs are consistent with those in the existing facility. The term of this facility remains the same, with an April 2016 maturity date. Upon successful completion of the Voluntary Tender, AMG intends to use the proceeds of the incremental facility to refinance GK's existing $33.7 million debt facilities, of which $25.3 million was drawn as of September 30, 2011, and to fund the squeeze out of minority shareholders.

    Dr. Heinz Schimmelbusch, AMG's Chairman of the Management Board and CEO, said, "This is the next step in AMG's stated objective to expand AMG's mine based businesses and to simplify its corporate structure by consolidating all operating activities under one public entity, AMG. This also will lead to increased operational and financial flexibility and an elimination of redundancies."

    AMG wil Graphit Kropfmühl helemaal inlijvenAMSTERDAM (AFN) - Advanced Metallurgical Group (AMG) wil het Duitse Graphit Kropfmühl helemaal inlijven en biedt 31,75 euro per aandeel dat het nog niet bezit. Dat maakte de producent van specialistische metalen woensdag bekend.

    AMG heeft al 88,15 procent van de aandelen in handen. Het bod heeft betrekking op 341.321 stukken. Volgens AMG geeft het bod een premie van 29 procent ten opzichte van de huidige marktwaarde van Graphit Kropfmühl. Het bedrijf verwacht de overname in het tweede kwartaal te kunnen afronden.

    Zodra het vereiste aantal aandelen is aangemeld, zal AMG een zogeheten uitrookprocedure beginnen om aan 100 procent van de aandelen te komen.

    Eindelijk weer wat nieuws aan het front van AMG.
    Deze investering om een bod te doen op de rest van alle 341321 overgebleven aandelen van Graphit Kropfmühl, is natuurlijk 100 x beter dan door te modderen in Timminco.
    De waarde van het bod komt neer op € 10.836.942 en dat is bijna 11 miljoen Euro.
    Ik neem aan dat Heinz Schimmelbusch dit doet uit een strategische overweging.
    Per slot van rekening is G-K een zeer winstgevende tak van AMG.
    Ondanks dat de koers van AMG lang blijft hangen tussen de 9 en 10 Euro, heb ik toch vertrouwen in de komende jaarcijfers, die uiteindelijk de start zullen zijn om weer boven de 10 Euro uit te breken.

    AMSTERDAM (Dow Jones)--AMG Invest GmbH, een 100%-dochter van AMG Advanced Metallurgical Group nv (AMG.AE), heeft een vrijwillig overnamebod op Graphit Kropfmuhl ag in voorbereiding, meldt het moederbedrijf woensdag nabeurs.

    AMG Invest heeft momenteel 88,15% van de aandelen in bezit en biedt euro31,75 per aandeel op de resterende 341.321 aandelen. Het bod is een 29% overnamepremie op de huidige marktprijs en een 37% premie op de fair value zoals deze is bepaald door Warth & Klein Grant Thornton ag.

    Met het bod wil AMG Invest een belang verkrijgen dat in elk geval groot genoeg is om een squeeze out mogelijk te maken en 100% van de aandelen Graphit Kropfmuhl in handen te krijgen.

    De overname zou gefinancierd moeten worden vanuit de huidige balans, stelt AMG.

    Het vrijwillige bod wordt naar verwachting gedurende het tweede kwartaal van 2012 afgerond.

    Goedendag Gerrit,

    Mits we niet in een algehele correctie belanden nu.
    AMG gedraagt zich bij een daling nagenoeg hetzelfde als een financiele
    instelling, maar dat hoef ik u als zeer wel geinformeerde en ervaren AMG belegger zeker niet uit te leggen.

    Zo zie ik het ook.
    Pas in 2013 verwacht ik een klein dividend van AMG, maar die verwachting heb ik al eerder uitgesproken.
