Drive - Hoe gaat het verhaal lopen?

Deze draad zodat iedereen zijn visie kan geven op de herstructurering van Drive en wat het zou kunnen betekenen voor ECT. Ik zet even de feiten op een rijtje: - De Drive lening moet in Januari 2013 terugbetaald worden - De huidige rentevoet is 4,2% - De geschatte waarde op 31/12/11 was 766,276 miljoen € (recente verkoop is verrekend) - Er moet 678,77 miljoen € geleend worden (recente verkoop is verrekend) - Op basis hiervan is die verhouding 88,6% - De huurinkomsten bedragen 41,7 miljoen per jaar d.i. 6,14% van het te lenen bedrag
Ik verwacht een oplossing in de lijn van de MARS portefeuille, d.i. een herstructurering van de lening met daarbij een eigendomsoverdracht van een deel van de portefeuille. De vraag is natuurlijk: hoeveel van de portefeuille kan ECT behouden? -> ECT kan zich geen fel hogere rentevoet permitteren, omdat de huurinkomsten te laag zijn en je dan het risico loopt dat de portefeuille gaat bloeden (cash verliezen) -> Dat betekent dat het risico van de bank verminderd moet worden door de verhouding lening/geschatte waarde te verbeteren. -> Bij zo'n overdracht zal de bank een korting bedingen op de geschatte waarde (de bank heeft nl de sterkere onderhandelingspositie, zij WILLEN die gebouwen niet per se). Ik heb die korting op 7% gezet Ik denk dat de banken zullen proberen ca 60% à 65% van de portefeuille in handen te krijgen. Een overdracht van 40% of minder (bij gelijke rentevoet) zou een succes zijn. Ik denk niet dat de bank vrede zal nemen met minder dan 30%. Ik verwacht een overdracht van tussen 50% en 55% eventueel in combinatie met een licht hogere rentevoet (niet hoger dan 4,5%)
En als dit nu moest gebeuren marc wat gebeurt er dan met onze aandelenkoers en aantal R/S ??
Net Asset Value gaat fors naar beneden Assets Under Management gaat fors naar beneden -> ECT verliest stukje bij beetje de mogelijkheid om rendement te genereren voor de aandeelhouders Het gevolg is dat indien alle economische indicatoren plots toch op hoogconjunctuur voor ECT gaan wijzen zij daar toch niet ten volle van zullen profiteren (in mensentaal: er wordt fors geknipt in de theoretische topkoers) Als je probeert om te kopen op 2 cent en te verkopen op 3 is dat niet relevant. Als je denkt dat dit aandeel ooit nog op 20, 30, 50 cent zal staan is dat wel relevant.
ok marc,maar nu even een ander scenario. stel dat we eurocastle liquideren,wat blijft er dan over volgens jou? banken geven (meestal) altijd geld ,aleen heb je gelijk wat betreft het rentepercentage. ik zou als eurocastle zeggen,die bepaalde rente wil ik betalen waar ik mee rond kan komen en anders laten we de boel klappen (misschien kort door de bocht). maargoed,dan zijn er verliezers aan beide kanten?
ect kan op een koers van 0,03/0,04 cent ook aandelen terugkopen,wat ik in een ander draadje al aangaf.

De oplossing voor de Mars portfolio leverde geen negatieve gevolgen op voor het eigen vermogen en de kaspositie van ECT. De banken willen helemaal niet graag opgezadeld worden met vastgoed, dat is hun vak niet. Dat werkt dus in het voordeel van ECT. Overigens is het niet bekend of ECT te maken heeft met banken of met andere financiers, zoals institutionele beleggers. En of ECT eigen vermogen verliest bij een evt. overdracht is geheel niet zeker. Ik ben het wel met Marc eens dat een verkleining van de vastgoed-porto een toekomstig herstel verminderd.
Review of Business During the year ended 31 December 2011, the Group signed 251 commercial leases for approximately 154,400 square metres (sqm). Physical occupancy was at 84.3% compared to 87.0% at the end of 2010. Going into 2012, the level of physical portfolio occupancy on a like-for-like basis decreased by 4.4% following an expiry relating to the consolidation of a major tenant?s back-office locations in Frankfurt and Munich. De impact op de NAV van MARS kwam natuurlijk op het ogenblik van herstructurering. Je kunt voor de leut het AR van 2008 lezen. NAV is toen ingestort onder meer (maar zeker niet alleen) door de herstructurering van MARS. Overigens weten we dat Drive door meerdere banken gefinancierd is, waaronder Dresdner Bank, de voormalige eigenaar van de portefeuille. Eurocastle Acquires EUR2 Billion German Real Estate Portfolio from Dresdner Bank - Transformational Acquisition Making Eurocastle the Largest Publicly Traded Company Focused on German Commercial Real Estate LONDON, December 22, 2005/PRNewswire/ -- Eurocastle Investment Limited (Euronext Amsterdam: ECT), which is managed by Fortress Investment Group LLC, today announced that it has signed a definitive agreement with Dresdner Bank AG to acquire 100% of an open-end fund which owns a portfolio of 303 commercial properties for approximately EUR 2 billion. The properties consist primarily of office buildings and are largely occupied by Dresdner. The bank will continue to occupy their current space which represents approximately 80% of rental income on the portfolio. Dresdner's average remaining lease term is 9 years, while the average remaining lease term of the entire portfolio is approximately 8 years. Approximately 15% of the portfolio is currently vacant. The properties, totaling approximately 9 million square feet (845,516 square meters) of leasable space, are located throughout Germany, with concentrations in Frankfurt, Hamburg, Munich, Dusseldorf and Berlin. The assets are generally in major metropolitan areas and Eurocastle believes that the properties are among the best-located and highest quality assets in their respective markets. The purchase reflects an unleveraged initial yield of approximately 5%. "This transaction provided a unique opportunity for Eurocastle to acquire a large scale portfolio that combines prime assets with a high quality core tenant under long-term leases," commented Robert Kauffman, head of Fortress's European investment operations. "We look forward to a strong partnership with Dresdner and the Allianz Group." Eurocastle expects to fund the purchase with equity and debt financing. Today, Eurocastle's investment portfolio is made up of approximately 50% in credit leased real estate and 50% real estate debt and securities (based on invested equity). Upon the closing of this transaction, credit leased real estate will increase to at least 75% of Eurocastle's portfolio, and will include over 17 million square feet (1.6 million square meters) of leasable European commercial real estate, with German assets making up 93% of Eurocastle's direct real estate investments. Banken bieden 426 miljoen voor boedel Eurocommerce 21-11-2012 | LAATST GEWIJZIGD: 21-11-2012 De banken die betrokken zijn bij het failliet verklaarde Eurocommerce, SNS, ING, Rabo, Friesland Bank, FGH en NIBC, hebben samen 426 miljoen euro geboden voor de veertig panden in de boedel. Dat bleek maandag (19 november) tijdens een zitting van de rechtbank in Amsterdam, schreef gisteren het Financieele Dagblad. De voorzieningenrechter boog zich over de door de banken gewenste onderhandse verkoop van de panden. De executiewaarde van de panden bedraagt ongeveer 270 miljoen euro. Op de panden rust een schuld van ongeveer 552 miljoen euro. ABN Amro doet als enige betrokken Nederlandse bank niet mee met de onderhandse koop. Het bod moet volgende week nog door de rechter worden goedgekeurd, maar heeft de steun van de curator van Eurocommerce. Bij de rechtbank hebben zich geen andere kopers voor de panden gemeld. De banken die Eurocommere financierden, bieden niet zelf op de panden. Dat gebeurt via nieuwe ondernemingen die zij financieren. Dat betekent dat de bank de panden niet in eigendom krijgt en dat er geen overdrachtsbelasting betaald hoeft te worden. De banken krijgen zodoende de panden ook niet op de balans. De nieuwe ondernemingen gaan na de aankoop de panden exploiteren en op den duur, als de vastgoedmarkt aantrekt, verkopen. De financiers van Eurocommerce hebben 695 miljoen euro uitstaan bij het vastgoedbedrijf. De schuldeisers zijn Rabo (ongeveer 300 miljoen euro), ABN Amro (142 miljoen euro), ING (100 miljoen euro), SNS (100 miljoen euro) en NIBC (39 miljoen euro).
interessant. er is hier wel sprake van 'het failliet verklaarde " eurocommerce.
Volgens mij gelijken ze wel op elkaar maar is ECT er toch beter aan toe eh ;)

(ben geen vastgoedexpert)

Voorgeschiedenis kan heel interessant zijn.
Ik verwacht een van de dagen een persmededeling van ECT om te zeggen dat de onderhandelingen omtrent Drive goed verlopen, maar dat ze er nog niet uit zijn en ze een tijdelijke loan extension overeengekomen zijn van 1 à 2 maanden. Is niet onmogelijk dat die mededeling pas begin februari komt.
nou, echt mogelijk was het ook niet. en nu?
