Spyker en Saab sluiten overeenkomst met Pang Da Automobile Gepubliceerd: 09:21 Door Patrick Buis Van DOW JONES NIEUWSDIENST AMSTERDAM (Dow Jones)--Spyker Cars nv (SPYKR.AE) en dochteronderneming Saab Automobile sluiten een overeenkomst met het Chinese Pang Da Automobile, China's grootste beursgenoteerde distributeur van voertuigen, melden de twee concerns maandag. De samenwerking betreft onder andere de oprichting van een joint venture voor de distributie van Saab voertuigen, waarbij zowel Spyker als Pang Da een 50%-belang in de jv zullen houden. Daarnaast zal Pang Da euro30 mln betalen voor de aanschaf van Saab voertuigen en binnen 30 dagen euro15 mln overmaken voor de aankoop van meer auto's. Tevens zal het Chinese concern een 24%-belang in Spyker nemen ter waarde van euro65 mln, ofwel euro4,19 per aandeel. Pang Da heeft in China ruim 1.100 dealers. Na het nieuws opent Spyker aan het Damrak 13,8% hoger. Omstreeks 9.15 uur noteert het aandeel 9,8% hoger op euro3,90. De samenwerkingsovereenkomst die Spyker en Saab hebben aangekondigd met het Chinese Pang Da Automobile Trade Co is positief, maar met onzekerheid omgeven na de mislukte deal met Hawtai. Dat zegt Martin Crum, analist bij AEK. “De deal is interessant omdat er geld binnenkomt,” zegt Crum, wijzend op de in totaal 45 miljoen euro aan aankopen van Saab auto’s en het aandelenbelang van 65 miljoen euro. Als kanttekeningen wijst Crum er op dat er bij de aankoop van de auto’s geen aantallen zijn genoemd en dat er over Pang Da weinig bekend is. Daarnaast is de prijs per aandeel gedaald van de 4,88 euro die Hawtai betaalde naar 4,19 euro. Ook zijn de bedragen niet genoeg om Saab geheel gezond te maken, aldus de analist. “De deal geeft tijd om orde op zaken te stellen op korte termijn, maar er zal op langere termijn meer geld in moeten.” Als laatste punt stip de analist aan dat meerdere partijen moeten instemmen met de deal. Weer een nieuwe partner uit de HOGE HOED van VM, who is next? Alleen de goedkeuring nog, en weg zijn ze weer!
Die Chinezen kopen dus 1.300 Saabs voor een bedrag van 30 miljoen euro. En met die opbrengst kunnen dan de rekeningen betaald worden die zijn ontstaan om die auto's te bouwen. Lekker lange termijn denken. Heb overigens zo'n vermoeden dat Victor Muller een deel van de enorme voorraad onverkochte auto's die in Amerika staat op de boot naar China gaat zetten. Die zijn immers al gebouwd en onverkoopbaar gebleken.

Pang Da is de grootste autodistributeur in China en is volgend Muller een betere partij dan Hawtai, waarmee vorige week op het laatste moment een deal misliep. Het Chinese Pang Da is de nieuwe partner van Saab. Dat bedrijf is geen automerk, maar de grootste distributeur in China. Via hun zijn vorig jaar 470.000 auto’s verkocht via 1.100 dealers in China. Het eerste deel van de overeenkomst is een bestelling van dertig miljoen euro aan Saabs. Muller vertelt ons vanuit Bejing dat dit zo’n 1.300 auto’s zijn. Omdat Pang Da zelf geen autoproducent is, wordt het gemakkelijker een goedkeuring te krijgen van de Chinese overheid voor de samenwerking. “Hawtai struikelde toch over de regelgeving van de overheid, ook al vertelden ze zelf dat ze door de ‘economische realiteit’ uit de joint venture zijn gestapt,” vertelt Muller. “Het zou fijn zijn geweest als ze eerst even contact met ons hadden opgenomen voordat ze die bewering de wereld in gooiden.” Pang Da wil op termijn een aandeel van 65 miljoen euro in Spyker nemen. “Ze hebben niet de intentie een meerderheidsaandeel te verwerven en zo Saab over te nemen. Ze zijn alleen geïnteresseerd in een strategisch aandeel in een premium Europees automerk.” Voor dat onderdeel van de overeenkomst is echter nog wel de toestemming van de overheid nodig. Dat duurt naar verwachting zo’n drie maanden. Pang Da kan door het grote netwerk Saab ook helpen met het opstarten van de productie in China. “Zo heeft Pang Da ook Subaru onlangs geholpen met het opstarten van de productie in China. “Over twee jaar verwachten we de productie in China op te starten. Daarvoor moet eerst de nieuwe 9-3 worden ontwikkeld op ons eigen Phoenix-platform. De GM-techniek mag namelijk niet in China worden geproduceerd.” Muller denkt dat het opstarten van de productie nog een kwestie is van ‘enkele dagen’. Voor die stap is negentig miljoen euro nodig. De dertig miljoen van investeringsmaatschappij Gemini ligt inmiddels te wachten in Trollhättan. De dertig miljoen van de nieuwe Chinees wordt binnen een paar dagen verwacht en tot slot wordt een beroep gedaan op de lening van de Europese Investeringbank voor de overige dertig miljoen. Chinees Pangda distribueert alles op wielen Gepubliceerd op 16 mei 2011 om 12:38 AMSTERDAM (AFN) - Het Chinese Pangda distribueert zo ongeveer alles wat op wielen beweegt. Naast tientallen automerken verkoopt het ook trucks, minivans, landbouwvoertuigen en voertuigen voor de bouw. De nieuwe partner van Saab en Spyker is op honderden locaties in China en Mongolië actief. Pangda verzorgt behalve distributie ook diensten op het gebied van reparatie en onderhoud. Pangda doet in China de distributie van grote Europese automerken als Audi, Volkswagen en Mercedes-Benz. Ook bekende Aziatische merken als Honda, Toyota, Hyundai en Subaru zitten in de productportefeuille. Het Zweedse Saab komt daar nu met de maandag aangekondigde overeenkomst bij. Pang Qinghua De onderneming is opgericht door de Chinese ondernemer Pang Qinghua. De 55-jarige Pang werkte vroeg in zijn carrière bij een overheidsfabriek. Hij heeft volgens het Amerikaanse tijdschrift Forbes een vermogen van 1,1 miljard dollar (ongeveer 780 miljoen euro). Het bedrijf heeft sinds kort een notering aan de beurs van Shanghai. Eind april werd met een beursgang bijna 1 miljard dollar opgehaald. Meteen na de beursintroductie zakte het aandeel bijna een kwart in waarde. Volgens analisten was dit een gevolg van de zwakke markt voor beursgangen in China de afgelopen tijd.
Saab’s Survival Depends On A Chinese Car Dealer By Bertel Schmitt on May 16, 2011 Victor Muller is getting desperate. Hard up for cash, he is willing to sell 24 percent of Saab to a car dealer in China. It’s not any car dealer, but Pang Da, one of the larger chains in China. According to a Spyker press release, Pang Da has “over 1100 dealerships nationwide”, according to Pag Da’s own profile (see below) is has about half of that. Be it as it may, it is a dealer group, not a larger automaker. Not even a smaller one. According to the Spyker press release, Spyker, Saab and Pang Da signed a Memorandum of Understanding today. The MoU “includes a strategic alliance consisting of a 50/50 distribution joint venture and a manufacturing joint venture (MJV) for Saab branded vehicles as well as for an MJV-owned brand (the so-called ‘child brand’) in China. Saab Automobile will have up to 50 percent in the MJV, with Pang Da and a to-be-selected manufacturing partner owning the remaining shares.” Great. They don’t even have a manufacturing partner yet, but are already creating Chinese brand which are all the rage in the Middle Kingdom, Spyker and Saab hope that “Pang Da shall make a EUR 30 million payment for the purchase of Saab vehicles and is expected to make an additional EUR 15 million for the purchase of more Saab vehicles within 30 days subject to certain circumstances. Additionally, Pang Da will take an equity stake in Spyker for a total amount of EUR 65 million at EUR 4.19 per share (the weighted average of the ten last trading days), representing 24 percent of Spyker on a fully diluted basis.” Here is some unsolicited free advice for Mr. Muller: Don’t spend the money yet. If you need quick cash, don’t look to China. Here is why: In China, a MoU is part of the flirtations that may or may not lead to doing business. But it is of zero value. A contract, signed and “chopped” by all parties involved comes closer to doing business. Even after the contract is signed, the bargaining usually does not end. Unless Pang Da has € 30 million sitting around in a bank account somewhere outside of the country, there is no way in hell this money will be flowing fast. Even if it is payment for cars, the payment needs to be approved by the government. Cars need to actually change hands. They need to be available and certified for the Chinese market. I wouldn’t do a deal with anyone in China if they know that I am desperate for money. The press release warns that “some of the transactions following the MoU are subject to agreement on definitive transaction documents and certain conditions, which include consents from certain Chinese governmental agencies, the European Investment Bank, GM and the Swedish National Debt Office.” That’s a lot of people that have to say yes. GM and the Chinese government probably won’t be on the same page when it comes to the intellectual property of Saabs. Pang Da recently made headlines by dropping 23 percent on the day of its IPO on April 26. The nearly $1 billion the company raised were worth $770 million. The IPO had unfortunate timing: It came days after China had announced disappointing sales for April and a big downdraft at the Shanghai stock exchange. According to listed information, “Pang Da Automobile Trade Co Ltd is principally engaged in the distribution, repairing and maintenance of automobiles. The Company distributes cars under 49 brands, including Benz, Audi, Subaru, Volkwagen, Honda, Toyota and Hyundai; trucks under 15 brands, including Auman and Jiefang; mini coaches under 10 brands, including Wuling, Hafei and Jiabao, as well as agricultural vehicles under six brands and engineering machinery vehicles under six brands. Dat is het probleem met VM, hij geeft er altijd een draai aan die hem op dat moment het best past en schuwt het niet de waarheid daarbij niet al te serieus te nemen.
Maakt allemaal niks uit, als dit niks wordt dan zoekt hij komend weekend toch gewoon een nieuwe partner! Is weer zo'n konijn uit de hoge hoed, kan nooit een erg doordacht plan zijn in die korte tijd. Dan kan je het op 10000 voet wel met elkaar eens zijn maar dat is nog heel iets anders dan een contract. Daar moet je toch wel het een en ander expliciet maken.

Reactions from suppliers by TIMR on MAY 16, 2011 There was good news from spyker this morning and I had a smile on my face for all of the 330 km driving home from Trollhättan this morning =) But, I hate to be the one ending the joy, at least for a short while. Some suppliers are skeptical about the future for Saab. Plastal today gave 50 of its employees their 4 week notice of discharge. The norwegian company Raufors who builds components for the front and rear axel say to TT that they will not start deliveries until they have been payed and that Saab can show them a clear plan about the future. But generally, the news have been met with a careful sense of optimism among the dealers and other suppliers that I have talked to. People want to believe!www.saabsunited.com/2011/05/reactions...

Misschien moest er nieuw WC papier gekocht worden voor in de fabriek en hebben ze daarom de aandelenpers ff aangezet.
