    With the subscription period for the Tonner Drones (FR001400H2X4 - ALTD) rights issuance open, the company provides the following information regarding its financial operations and overall strategy as it prepares to relaunch.

    The Tonner Drones rights issuance is now open through close of markets on 27 March (the “Subscription Window”). Additional information can be found in the two press releases of 12 March. The company welcomes the support of all shareholders in this financial operation.

    This rights issuance is the culmination of several months of financial restructuring that has resulted in the following measures designed to solidify and stabilize the financial position of the company:

    An exit from the equity-line product with Yorkville.
    The negotiation and payment of all legacy payables.
    Raising working capital for the next 12 months.

    Tonner Drones is pleased that it was able to successfully launch the rights issuance with the firm support of its main shareholder and guarantors. Their support ensures that the company reaches its financial target of €5 million.

    To date, Tonner Drones has received positive feedback from shareholders regarding their participation in the rights issuance given that they have priority in participating during the Subscription Window and then sharing in the company’s relaunch.

    With this significant financial restructuring complete, and the Subscription Window open, Tonner Drones can begin to shift its focus to the following strategic initiatives:

    The development, production and sales of Countbot, a promising robotic inventory management system dedicated to the vibrant logistics sector.
    Continued cost reductions in line with the company’s objectives of a monthly burn rate of only € 50,000 (as compared to € 200,000 under former management), so as to maximize the company’s ability to operate profitably.
    The continued sales of the legacy parts, accessories, and inventory left behind by former management, so as to generate cashflow which can be used to extend the cash runaway and develop products.
    Increased dedication to the French private drone companies, Donecle and Elistair, in which the company holds minority positions. Both companies have a strong shareholder base and have experienced steady growth in recent years. Last year, Donecle raised capital at a € 10 million valuation and further growth is expected for both companies, particularly with Tonner Drones’ involvement.
    Increasing the company’s focus on implementing its strategy of adding the military and defense markets to its offerings. In addition to its strategic partnership with Techaviacom in Ukraine, Tonner Drones continues to actively meet with potential partners to help it develop, produce, and sell its military drone and associated patents.
    Becoming a drone industry aggregator, bringing under one umbrella the fragmented drone industry comprised of numerous smaller drone companies working on only a particular piece of an overall drone solution for the marketplace. Tonner Drones’ managerial expertise and financial backing will allow it to seamlessly integrate these isolated companies along all lines and create shareholder value.

    With a current share price of over € 0.20, shareholders can buy shares at a 90% discount when they use their preferential subscription right (“PSR”) to subscribe to new shares. As a reminder, for every 1 share they own, current shareholders can buy 120 new shares at a price of € 0.025.

    New investors can also buy PSR (FR001400ONI6) in the market to allow them to subscribe to the new shares. All investors can subscribe under ‘titre libre’ to buy shares at € 0.025 but those orders will only be executed in the event that not all PSR are used to subscribe to the rights issuance.

    Please note that the PSR will have their last day of trading at the close of trading on 25 March. The Subscription Window, however, for those shareholders with PSR, will remain open until the close of trading on 27 March. Shareholders and investors are advised to speak their respective banks or other advisors regarding precise deadlines, as some financial institutions may have more restrictive deadlines.

    In the press release of 12 March, a remaining debt of around € 6.25 million was communicated. This figure needs to be corrected because the participation of Ott Heritage was not taken into account when calculating it. Ott Heritage has committed to participating in the rights issuance for a minimum of € 1 million to maintain its 20% stake. As such, the remaining debt is only € 5.25 million. All debt has a long maturity.

    As a final note, € 2.1 million of this outstanding € 5.25 million in debt is owed to legacy financing party Fiducie A, which is capped at 13.5% of the daily volume and has a monthly fixed conversion price to limit its influence on the stock market price.

    Lijkt me een zeer risicovolle 'gok'.

    Heb ook slechte ervaringen met Franse bedrijven ...
    Blijken wel vaker ze een bodemloze put te zijn!

    Succès de l’augmentation de capital avec maintien du droit préférentiel de souscription

    Tonner Drones (FR001400H2X4 – ALTD) (la « Société »), société développant des drones et des technologies associées, notamment pour les secteurs de la logistique, de la défense et de la sécurité privée et publique, annonce le succès de son augmentation de capital par émission d’actions nouvelles avec maintien du droit préférentiel de souscription (« DPS ») des actionnaires dont la souscription s’est déroulée du 18 au 27 mars 2024 (l’ « Augmentation de Capital ») avec la levée d’environ 5,0 millions d’euros par l’émission de 199.091.160 actions nouvelles (les « Actions Nouvelles ») au prix unitaire de 0,025 €.

    Franse aandelen kunnen inderdaad zeer riskant zijn, vooral als ze geld ophalen door equity-financiering, anders gezegd er worden dan voortdurend nieuwe aandelen op de beurs gedumpt.
    Tonner is daarmee gestopt en heeft gekozen voor een eenmalige grote emissie tegen een koers van 2,5 cent.

    Onze forumgenoot Diede zit nu in het bestuur en Diede heeft een gruwelijke hekel aan equity-financiering.

    Onze forumgenoot Martijn Kok (Duck Master) heeft zelfs ca 42 miljoen aandelen gekocht voor ca 1 miljoen euro.

    Successful capital increase with preferential subscription rights

    Total demand of €6.6 million from shareholders, new investors and guarantors

    Settlement-delivery and listing of new shares: April 5, 2024

    Cannes, April 2, 2024 – 5:45 pm

    Tonner Drones (FR001400H2X4 - ALTD) (the "Company"), a company developing drones and associated technologies, in particular for the logistics, defense and homeland security sectors, announces the successful capital increase through the issue of new shares with shareholders' preferential subscription rights ("PRS"), which took place from March 18 to March 27, 2024 (the "Capital Increase"), raising approximately €5.0 million by issuing 199,091,160 new shares (the "New Shares") at a unit price of €0.025.

    Brad Taylor, Chief Executive Officer of Tonner Drones, said: “We would like to thank all the investors, both existing and new, who contributed to the success of this capital increase, enabling us to complete the financial restructuring of Tonner Drones and provide us with the means to cover our financing needs beyond the next 12 months”.

    RESULT OF THE CAPITAL INCREASE

    Following the subscription period, the total demand was for 105,805,355 New Shares, or approximately €2.6 million, allocated as follows:

    74,515,320 New Shares on an irreducible basis;
    24,970,928 New shares on a reducible basis; and
    6,319,107 New shares on a free basis.

    All irreducible, reducible and unrestricted subscriptions were taken up in full.

    These irreducible, reducible and unrestricted subscriptions represented 53.14% of the gross amount of the Capital Increase. As such, the Company then turned to its 12 guarantors who had committed to subscribing to the difference in New Shares between those subscribed to after the subscription period and the total of 199,091,160. The guarantors’ total commitment was for a maximum of approximately €4.0 million, meaning that the total demand from shareholders, new investors and the guarantors was approximately €6.6 million. Given, however, that the total capital increase was only for 199,091,160 shares, the guarantors therefore subscribed to the remaining 93,285,805 shares, or approximately €2.3 million.

    Within the framework of the Capital Increase, 111,197,815 New Shares were subscribed to by offsetting receivables corresponding to an amount of approximately €2.8 million. In addition, 87,893,345 New Shares were subscribed to in cash corresponding to an amount of approximately €2.2 million.

    REMINDER OF THE USE OF PROCEEDS FOR THE CAPITAL INCREASE

    The net proceeds of the Capital Increase following the deduction of expenses and costs related to the Capital Increase totaled approximately €4.6 million, of which the net cash proceeds were approximately €1.8 million.

    The main objectives of the Capital Increase were to :

    cover the Company's working capital requirements for the next twelve months (up to around 20% of the Capital Increase); and
    reduce the Company's financial debt and clear its trade payables (up to around 80% of the Capital Increase).

    This Capital Increase thus marks the end of the financial restructuring phase of Tonner Drones initiated in June of 2023 by a new management team and a new group of investors. Following the Capital Increase, Tonner Drones' liquidity horizon extends beyond the next 12 months.

    This Capital Increase marks the end of a challenging financial restructuring period for the Company, where it had to deal with numerous legacy issues that the new management inherited upon their arrival in June of 2023. Management is committed to generating value for all historic and new investors who helped to refinance the Company. Management can now finally fully concentrate on rebuilding the business.

    The Company also will have a closer look at the composition of the board to be well equipped for the next phase.

    With the restructuring and refinancing phase complete, management will focus on the following:

    maximizing the value of its stakes in several drone companies;
    deepening its current collaborations and starting new ones; and
    developing its products like Countbot and Inhibitor.

    Tonner Drones will communicate about these developments as they take place.

    SETTLEMENT-DELIVERY

    Settlement and delivery of the New Shares and their admission to trading on Euronext Growth Paris are scheduled for April 5, 2024. The New Shares will carry dividend rights, will be immediately assimilated to the Company's existing shares and will be traded on the same trading line as the latter under the same ISIN code (FR001400H2X4 - Mnemonic: ALTD).

    Following settlement-delivery, the Company's share capital will amount to €5,018,756.33, divided into 200,750,253 ordinary shares with a par value of €0.025 each.

    Tonner doet trouwens helemaal niks met munitie en hun drones zijn bovendien totaal niet geschikt om clustermunitie af te schieten.
