Als dit zou kloppen...merger die niet door zou gaan!
Ik lees niet dat het niet door zou gaan, maar mogelijk nog een keer uitgesteld wordt. Dit omdat de cijfers van EV Box nog niet volledig zijn gecontroleerd door de externe accountant. Hoop toch echt op de merger eind Q2 en anders wordt het q3... duurt allemaal veel te lang

In de eerste paragraaf (referentie boven) staat wel if at all!
Die laatste alinea geeft mij toch aan dat er een haar in de boter zit. Nu, de fusie tussen Chargepoint en zijn toenmalige SPAC is ook uitgesteld geweest. Feit is dat TPGY in pre-market aan het kelderen is (reeds -20%).
Het enige dat we kunnen doen is wachten denk ik..

Buiten deze "Reddit" aankondiging vind ik niets officieels terug. Ik hoop alvast op enige officiële duiding, en liefst zo snel mogelijk. Zoals gezegd, met afstel valt te leven. Uitstel wordt pijnlijker. Fake news? Pre-market laat weinig aan de verbeelding over. Dit zou allemaal wel heel paniekerig zijn. Afwachten is idd de enige optie. 10 USD is er nog te recupereren (als/indien).

Kan uiteindelijk zomaar meevallen, misschien een beetje wat standaard komt kijken bij zo'n spac-merger? Geeft alleen voor nu een hoop onzekerheid en beleggers houden daar nou eenmaal niet van...

Begrijp dat SEC SPACs heeft opgedragen de warrants anders te behandelen in de verslaggeving. TPGY moet zijn jaarcijfers daarom aanpassen hierop. Ze zullen dit op 24 mei publiceren. Ik denk dat dit eerst gedaan moet worden voordat merger-verzoek door kan gaan. Vaak dan nog maand wachttijd voordat de merger een feit is.
Dit stond al ik de 8-K file van 8 mei. Op 24 mei komen de aangepaste cijfers. Deze cijfers zijn dus nodig voor indiening fusie verzoek. M.i. kan TPGY de uiterste datum voor een fusie eenzijdig verlengen. Verbaas me over deze onrust nu aangezien deze info al sinds 8 mei openbaar is. Nieuwe is dat TPGY met Engie gaat praten, wellicht om er een betere deal uit te slepen?

Engie is een fatsoenlijk bedrijf. Als het een boekhoudkundig iets, dan kan dat opgelost worden.
Dat stukje van Reddit is wel heel tendentieus. "significant uncertainty exists whether the business combination will ultimately be completed on the terms currently contemplated or at all". Stelletje relschoppers. Indien het uitstel wordt bevestigd is dat wat het is: uitstel. Niet leuk, langer wachten, maar op zichzelf geen probleem. Beleggers vinden dit niet leuk dus de koers zal wat zakken. Dat "or at all" erbij is pure stemmingmakerij. Zinloze toevoeging.

Source: Shutterstock “… significant uncertainty exists regarding whether the Business Combination will ultimately be completed on the terms currently contemplated or at all,” TPGY wrote in an 8-K form filed with the U.S. Securities and Exchange Commission late Monday. What happened? According to the filing, it’s looking like the audited financial statements for EVBox, a carve-out transaction from parent Engie, will take longer than previously anticipated. That will prevent approval of the merger by June 8, 2021, the previously determined “outside date” for the deal to to get the greenlight. TPG Pace could push the deal out to September, if it so chooses. Could either side scrap the deal? Sure, that’s always possible, but it wouldn’t make much sense. As TPGY had recently leveled off in the $14 a share area, it was clear that investors liked the deal. If Engie backs out, they are stuck until finding another buyer/merger partner for the charging unit. And TPG? Yes, there are other targets out there, but this one seemed to be the right one. TPGY Stock Risks Already in Focus The risks inherent in TPGY stock were highlighted earlier today both on social media and by InvestorPlace contributor Josh Enomoto. On Twitter, SPAC pundit @spacanpanman led off a long thread about the 8-K filing with the tweet: “DEAL RISK is why pre-close SPACs trade at a discount to peer valuations. This is why some long only funds wait until a deal is effective to buy. A deal is never done until it’s done.” They added that, “Carveout transactions are notoriously complex. When you’re taking a division public, trying to separate CLEAN financials from the parent can be very difficult. Add on top that EVBox is European: translating IFRS to GAAP accounting adds more complexity!” For Josh Enomoto, though, writing prior to the filing, the risk in TPGY stock was more fundamental in nature. “TPGY is also at a disadvantage because it’s an infrastructure play. But with such a small market, this business faces severe risks, hence the downside,” he wrote in a piece published earlier today. Considering the small percentage of global auto sales that come from plug-in EVs, he wrote, “investors are recognizing the reality of the electric (vehicle) future and are downgrading TPGY stock accordingly.” With the TPGY stock battering today, the shares are all that much closer to levels last seen shortly after their November 2020 initial public offering. At that point, investors in the units received one Class A ordinary share and one-fifth of one redeemable warrant. Each whole warrant is exercisable for one Class A ordinary share at an exercise price of $11.50 per share.
Ik zie de recente ontwikkelingen op het gebied van ev vervoer niet verslechteren. m.i. geen reden om een strategische keuze in dat verband te heroverwegen. Zowel in EU als in US staan de seinen op groen voor EV. Boekhoudkundige zaken mbt Engie en de regelgeving IFRS en de omzetting in US GAAP zijn dagelijkse kost voor de financiele specialisten. We volgen de kwestie en gaan het zien,
Denk dat de daling overdreven is o.b.v.: 1) Tijdens interview met CEO. Kristof Vereenooghe op 11 mei 2021 (7 dagen geleden!) werd er van uitgegaan dat de merger gewoon door zal gaan (+/- 9:10 - www.youtube.com/watch?v=6xZpPOuaNGg) 2) Er gewoon meer gegevens nodig, tgv de aanvullende eisen die aan SPAC's worden gesteld 3) Groot aantal institutionele beleggers (die dus bij afslaan merger, zeker met claims zullen komen), tevens hebben sommige gisteren nog behoorlijk uitgebreid. 4) Engie op- zoek moet naar een andere partij, waar veel kostbare tijd en geld mee verloren zal gaan. 5) etc Maar een 100% garnatie ie er natuurlijk nooit ... Succes allen!
TPG (en dus wij) hebben meer te verliezen dan Engie/EVBox. Engie kan desnoods zelf EVBox naar de beurs brengen met hun bank(en) lijkt me. 24e dus de aangepaste cijfers, hopelijk kan de SEC daarna zijn werk alsnog positief afronden. TPG mag wel heel zorgvuldig te werk gaan, er kunnen nu geen fouten meer worden gepermitteerd zowel niet naar de SEC als naar Engie/EVBox.

Ach ja, staan al weer op 12,50. Zelfs al stukken gelezen die voorspiegelen dat we er uiteindelijk veel sterker weer uit gaan komen. Lijkt me dat EV Box wel eens mag reageren, hoe het nu precies zit.
Zie dat de herziene cijfers mbt TPGY 2020 gisteren ook al ingediend zijn bij de SEC. www.sec.gov/edgar/browse/?CIK=1819399... Dit is een voorwaarde om de fusie te kunnen indienen. Eerder dan ik dacht.
Er wordt dus ook heronderhandeld over de voorwaarden met eventueel uitstel tot september volgens een stukje op The Motley Fool. TPG said it does have the ability to push the outside date back to Sept. 6, and it plans to have further discussions on renegotiating the original terms of the merger. TPG also said it has "significant doubts" that the transaction will be completed with the original terms, adding that it possibly will not be closed at all. Now that the merger is in doubt, or likely to be on different terms if it does go through, some investors aren't waiting for more clarity before selling today.
