AMSTERDAM (Dow Jones)--Dutch investment firm Talpa Capital Monday fueled market speculation that Versatel Telecom International NV (39126.AE) is due to be taken over by confirming it had increased its stake in the alternative carrier to more than 25%. Talpa, the investment vehicle of wealthy Dutch media mogul John de Mol, acquired Versatel shares because it believes the alternative telecommunications sector is close to consolidating, and Versatel will be one of the parties that'll be swallowed by a larger player, a spokesman for Talpa confirmed. "We believe Versatel will play an important role in the process," Thomas Notermans, spokesman for Talpa Capital, told Dow Jones Newswires. "We think it makes good financial sense to buy into the stock ahead of that." Talpa confirmed reports it had upgraded its stake in Versatel, the second largest full-service telecommunications operator in the Netherlands, from 10% to more than 25% by buying shares on the open market over the last few weeks at an undisclosed price. At Monday's price, the transaction would have been worth at least EUR125 million. Versatel has been at the center of takeover speculation for months, with investors and analysts believing the company is not able to substantially grow its operations on a stand-alone basis. Recently, speculation Swedish telecommunications operator Tele2 AB (TLTOB) may look to buy the company, having lost out in its bid for Song Networks Holding AB (SONW.SK), caused a significant uptick in Versatel's share price. Versatel is having trouble recording substantial growth organically, which it needs to do to fulfill its long-term goal of achieving a 10% market share in the Benelux and Germany. Added to that, it's having a tough time acquiring turnover: the only acquisition it was able to make in 2004 was that of Berlin-based operator BerliKomm, which it bought in September for EUR34.6 million. Versatel's difficulty achieving its targets on its own, plus the fact the company is nearly debt-free and has a market capitalization of well under a billion euros, make it an interesting prey for larger European operators, analysts and investors have said. Talpa is looking to "benefit from an M&A fight (takeover fight) on Versatel by achieving a better negotiating position" by buying shares now, Petercam analyst Thijs Berkelder in Amsterdam said. "John de Mol seems to agree with us that Versatel will participate in a consolidation wave amongst the European alternative fixed operators", Berkelder said. The analyst, who rates Versatel a buy, named Tele2, Telecom (TI) Italia and France Telecom (FTE) as possible suitors because they are looking to strengthen or build positions in the regions Versatel covers. "This news will fuel takeover speculation and fits recent consolidation stories," analyst Mark Pieter de Boer at ABN Amro said. He has a hold rating on Versatel. Versatel shares Monday rose sharply on the news of Talpa's stake increase. The stock closed 4.8% up at EUR1.76. The shares have fallen 20% since mid-September amid bearish sector news, although they spiked higher at the end of October amid speculation that Tele2 may consider a bid. Talpa Capital is owned by television producer de Mol, who made his fortune selling television production company Endemol, in which he held a 28% stake, to Spain's Telefonica SA (TEF) for EUR5.5 billion in 2000. Talpa is becoming increasingly important in the Dutch investment community, with its holdings expanding and many investors, especially retail, following its every move since it made huge profits on its transactions. Besides Versatel, Talpa owns significant stakes in Fox Kids Europe NV (35252.AE) and Lycos Europe NV (LCY.XE), and has said it owns shares in telecommunications operator KPN NV (KPN) and publisher VNU NV (VNU). Versatel spokesman Wouter van de Putte said he wasn't aware of Talpa's intentions, but said he believed the stake increase was a "financial investment." Notermans at Talpa declined to say whether Talpa was planning to increase its stake further. "We've been building it up gradually in recent weeks, and stock exchange rules required us to disclose we now have 25%," he said. "I won't say what our current stake is." A spokeswoman for financial trading supervisory body Autoriteit Financiele Markten, or AFM, in the Netherlands said companies are obliged to report when they build stakes in other companies above 25%, but added that further increases aren't disclosed immediately. Holders of more than 25% in a company have to report on all their transactions from that point on a monthly basis, no later than 10 days into the month after their trade. Talpa has been a holder of Versatel shares for nearly two years, buying in and out of the stock several times. In March, it sold its then 10% stake in the company, only to disclose it had re-entered the market shortly thereafter, buying up to 5% in the company in May as it believed Versatel was undervalued. Arie, je brief van het AFM (in een ander draadje) was aardig overtuigend, maar nu weet ik het niet meer.
Ik vond mijn brief ook overtuigend, maar weet het nu ook niet meer! Dit bericht suggereert dus dat vanaf 25% iedere maand een overzicht moet worden gegeven... Als het goed is weten we binnen een maand hoe het zit, tenzij er natuurlijk iemand met meer kennis uitleg kan geven???
