    Denk met Jooste een piek naar beneden. Piek up was niet door la Grange maar door management Steinhoff. Mijn long laat ik staan, Maar koop tot donderdag niet. Heb overigens wel bij 0,169 mijn extra aankoop van vorige week weer verkocht. Verschil met vandaag toch bijna 20K. Jammer genoeg elke keer zelfde liedje piek up en winstnemingen.

    Denk het niet. Alles wat ze op dit moment kan en mag bespreken is vorige week reeds aan de orde geweest. Ik denk morgen alleen maar slecht nieuws. (Kan ook minder slecht zijn dan verwacht). Misschien komende week nieuws over hemi of mogelijke verkopen dat zou een balans kunnen brengen.

    SALE OF INTERESTS IN THE POCO FURNITURE GROUP
    Steinhoff International Holdings N.V. (the “Company” and with its subsidiaries, the “Group”)
    On 26 April 2018 the Group announced that it had agreed in principle a settlement of the
    German litigation proceedings between the Group and entities controlled by Dr Andreas
    Seifert (the “Seifert Entities”). It was noted in the 26 April 2018 announcement that the Seifert
    Entities had offered to acquire the Group’s remaining 50% interest in the POCO furniture group
    (“POCO”).
    The Group’s subsidiary LiVest GmbH (“LiVest”) holds the Group’s shares in POCO and has today
    entered into a sale agreement with the Seifert Entities by which the Seifert Entities will acquire
    LiVest’s shares in POCO and certain related properties for a total consideration of €270.685
    million (the “POCO Sale”). In addition, the POCO business will retain debt of approximately
    €140 million, with no recourse to the Group. The closing of the POCO Sale is subject to typical
    conditions precedent including German and Austrian competition and merger control
    provisions. Closing of the POCO Sale shall bring the German litigation proceedings with the
    Seifert Entities to an end.
    As noted in the Company’s Q3 2018 trading update, following the declaration of a dispute by
    the Pohlmann family regarding the 2015 sale of their interest in LiVest to Steinhoff, any proceeds
    from the sale by LiVest of its 50% share in POCO will be held in escrow while the Pohlmann
    dispute is finalised.

    Ik ga denk ik maar eens kopen op onder de 0,15 en verkopen boven de 0,17. Dan hark je geregeld wat munten naar binnen als ik naar de afgelopen weken kijk. Kleine muntjes misschien, maar benieuwd hoe dat werkt bij een aandeel dat de komende maanden zeker nog een stuiterballetje van epische omvang zal zijn. Ik leer tenslotte nog.

    VERKOOP VAN BELANGEN IN DE POCO FURNITURE GROUP
    Steinhoff International Holdings N.V. (de "Vennootschap" en met haar dochterondernemingen, de "Groep")
    Op 26 april 2018 kondigde de Groep aan dat zij in beginsel overeenstemming had bereikt over de
    Duitse geschillenprocedures tussen de Groep en entiteiten gecontroleerd door Dr Andreas
    Seifert (de "Seifert Entiteiten"). Het werd opgemerkt in de aankondiging van 26 april 2018 dat de Seifert
    Entiteiten hadden aangeboden om het resterende 50% -belang van de Groep in de POCO-meubelgroep te verwerven
    ( “POCO”).
    De dochteronderneming LiVest GmbH ("LiVest") van de Groep houdt de aandelen van de Groep in POCO en heeft vandaag
    een verkoopovereenkomst is aangegaan met de Seifert Entiteiten waarmee de Seifert Entiteiten zullen verwerven
    LiVests aandelen in POCO en bepaalde gerelateerde panden voor een totale vergoeding van € 270.685
    miljoen (de "POCO-verkoop"). Daarnaast zullen de POCO-activiteiten een schuld van ongeveer behouden
    € 140 miljoen, zonder een beroep op de Groep. De sluiting van de POCO-verkoop is onderhevig aan typische
    precedentvoorwaarden, waaronder Duitse en Oostenrijkse mededinging en concentratiecontrole
    voorzieningen. Sluiting van de POCO-verkoop brengt de Duitse gerechtelijke procedure met de
    Seifert Entities ten einde.
    Zoals genoteerd in de handelsupdate van het bedrijf in het derde kwartaal van 2018, na de verklaring van een geschil door
    de familie Pohlmann betreffende de verkoop in 2015 van hun belang in LiVest aan Steinhoff, eventuele opbrengsten
    van de verkoop door LiVest van zijn 50% aandeel in POCO zal worden gehouden in escrow terwijl de Pohlmann
    geschil is definitief.

    The Company refers to its announcement of 26 July 2018 (the “July Announcement”) noting
    that the terms of a lock-up agreement with respect to the implementation of the potential
    restructuring (the “Hemisphere Restructuring”) of the financial indebtedness of Hemisphere
    International Holdings B.V. (“Hemisphere”) (the “Hemisphere LUA”) had become effective in
    accordance with its terms, and its subsequent related announcements of 6 August 2018, 21
    August 2018 and 27 August 2018 regarding the extension of the long-stop date for executing
    the material documents required to implement the Hemisphere Restructuring.

    Hemisphere, the Company, Steinhoff Finance Holdings GmbH and the third-party creditors
    under Hemisphere’s EUR 750m revolving credit facility (the “Hemisphere Lenders”) have
    agreed the various documents required to implement the Hemisphere Restructuring.

    The parties to the Hemisphere LUA are producing the final form documents and preparing for
    the execution and completion formalities. The Company will provide a further update upon
    formal completion of the Hemisphere Restructuring on or prior to 5 September 2018.
