Dit even nader bekeken geeft mij het volgende: Een deel van de chronologie van het tot stand komen van het bod van Salix Pharmaceuticlas Ltd op Santarus en in het bijzonder ivm Ruconest. - On September 12, 2013, the Company received from Parent an updated indication of interest in writing to acquire the Company for $30.00 per share in cash, together with a letter from Jefferies Finance LLC indicating that it was “highly confident” it could provide the necessary financing to Parent to support the offer. - On September 15, 2013, the Company Board instructed Mr. Proehl to communicate to Parent that the revised offer to acquire the Company for $30.00 per share in cash was still viewed as inadequate. -On September 26, 2013, Ms. Logan left a voicemail for Mr. Proehl communicating a revised offer price of $32.00 per share in cash. -On October 1, 2013, Following this discussion, the Company Board instructed representatives from Stifel to be prepared to present a counter-proposal to Jefferies of $33.00 per share in cash, plus a $2.00 contingent value right to be triggered by a specified clinical development milestone related to the Company’s Ruconest ® product candidate. -On October 3, 2013, Mr. Proehl contacted Ms. Logan by telephone and communicated the Company’s counter-proposal of $33.00 per share in cash plus a $2.00 contingent value right. -On October 8, 2013, representatives of Jefferies provided a revised offer of $33.00 per share in cash to representatives of Stifel in a telephone conversation. The Jefferies representatives indicated that this offer was Parent’s best and final offer. -On October 9, 2013, the Company Board held a telephonic meeting. Following the meeting, Mr. Proehl contacted Ms. Logan to communicate the Company Board’s feedback and to advise her that the Company was willing to proceed based on the revised offer from Parent to acquire the Company for $33.00 per share in cash. -On October 29, 2013, in a telephone conversation between Ms. Logan, Mr. Scruggs and Mr. Bertrand from Parent and Mr. Proehl and Ms. Fox from the Company, Parent’s representatives discussed the results of Parent’s due diligence review regarding the pathway for regulatory marketing approval for the Company’s Ruconest product candidate. Ms. Logan indicated that Parent was reconsidering its current offer and that they would be in contact with the Company regarding the offer. -Later in the day on October 29, 2013, representatives of Jefferies contacted representatives of Stifel by telephone and proposed a revised offer price of either: (i) $30.00 per share in cash plus a $3.00 contingent value right to be triggered by a specified regulatory milestone with respect to Ruconest or (ii) $31.00 per share in cash with no contingent value right. -On October 31, 2013, the Company Board held a telephonic meeting with representatives of Stifel and Latham & Watkins and members of management present. Mr. Hale and Mr. Proehl led a discussion of Parent’s revised offer, and the Company discussed the recent developments regarding Ruconest with members of management with responsibility for product development and regulatory matters. The Company Board also discussed the negotiations with Cosmo regarding an amendment to the Cosmo license agreement (with Mr. Della Chà absent for portions of this discussion). After lengthy discussions regarding Parent’s revised proposal, the Company Board resolved to move forward with a counter-proposal to Parent which would include resolution of the issues surrounding the Cosmo license agreement. - Later in the day on October 31, 2013, in a telephone conversation between Mr. Proehl and Ms. Logan, Mr. Proehl communicated the Company’s counter-proposal of (i) $32.00 per share in cash plus a $2.00 contingent value right to be triggered by a specified regulatory milestone with respect to Ruconest or (ii) $33.00 per share in cash with no contingent value right, with the understanding in each case that the Cosmo license agreement would be amended to, among other things, return Rifamycin SV MMX to Cosmo. - Early in the morning on November 1, 2013, in a telephone conversation, Ms. Logan communicated to Mr. Proehl a revised offer by Parent of $32.00 per share in cash with no contingent value right, and expressed Parent’s general agreement regarding the plan for the Cosmo license agreement amendment. Ms. Logan indicated that this was Parent’s best and final proposal. -On November 1, 2013, the Company Board held a telephonic meeting with representatives of Stifel and Latham & Watkins and members of management present. Mr. Hale and Mr. Proehl provided an update of recent discussions with Parent, including Parent’s purchase price counter-offer of $32.00 per share in cash, and the proposed resolution of Parent’s concerns regarding the Cosmo license agreement. After further discussion, the Company Board authorized management to move forward with negotiating the Merger Agreement and other definitive documents for the transaction and an amendment to the Cosmo license agreement that would, among other things, return all rights related to Rifamycin SV MMX, as well as all related clinical and other data, to Cosmo effective upon the closing of the Merger. Later that day, Mr. Proehl called Ms. Logan to communicate the Company’s willingness to move forward based on Parent’s revised offer to acquire the Company for $32.00 per share in cash with no contingent value right. -On November 6, 2013, the Company Board held another telephonic meeting, Also at this meeting, Stifel reviewed with the Company Board its financial analysis of the $32.00 per share cash consideration and delivered to the Company Board an oral opinion, confirmed by delivery of a written opinion dated November 6, 2013, to the effect that, as of that date and subject to and based on the assumptions made, procedures followed, matters considered, limitations of the review undertaken and qualifications contained in such opinion, the $32.00 per share cash consideration to be received in the Offer and the Merger, collectively, by holders of shares of Common Stock was fair, from a financial point of view, to such holders. Following a discussion, the Company Board unanimously approved the Merger Agreement and the transactions contemplated by the Merger Agreement, and recommended that the Company’s stockholders accept the Offer. PS : Op 1 November : “After further discussion, the Company Board authorized management to move forward with negotiating the Merger Agreement and other definitive documents for the transaction and an amendment to the Cosmo license agreement that would, among other things, return all rights related to Rifamycin SV MMX, as well as all related clinical and other data, to Cosmo effective upon the closing of the Merger”. Naakte cijfers : -September 12: bod van Salix: $30.00 per share in cash. -September 26: Nieuw bod van Salix: $32.00 per share in cash. -October 1: Tegenvoorstel van Santarus : 33.00 per share in cash, plus a $2.00 contingent value right to be triggered by a specified clinical development milestone related to the Company’s Ruconest ® product candidate. -October 8, 2013: nieuw bod Salix : $33.00 per share in cash. -October 29, 2013: CRUCIALE DAG : Tegenvoorstel van Santarus : 1/ $30.00 per share in cash plus a $3.00 contingent value right to be triggered by a specified regulatory milestone with respect to Ruconest. Or 2/ $31.00 per share in cash with no contingent value right. Met dien verstande dat Rifamycin/Cosmo uit de deal verdwijnt.( mijn inziens, ….wordt ook op November 1 bevestigd). - November 1; best and final proposal van Salix: $32.00 per share in cash with no contingent value right, and expressed Parent’s general agreement regarding the plan for the Cosmo license agreement amendment.. Mijn Besluit : dit is puur hypothetisch! Op 29/11/20103 : 1/vraagt Santarus 30$ per aandeel + 3$ contingent value right. Op dat moment is ook al in overweging genomen dat Rifamycin terug naar Cosmo gaat. (Een Contingent Value Rights (CVR) is een soort optie die kan worden afgegeven door de koper van een bedrijf aan de verkopers. Het specificeert een gebeurtenis, die, indien geactiveerd, laat de verkopers meer verwerven aandelen in de doelvennootschap.) Of 2/ 31$ per aandeel. Op 1/11/2013 : Uiteindelijk wordt het bod definitief 32$ zonder contingent value right…. ( je mag/kan tussen de regels lezen dat dit inhoudt : 30$ per aandeel + 2$ contingent value right ) Mag je hieruit besluiten dat Ruconest 2$ vertegenwoordigt per aandeel ????? Stel het is 1$: Het aantal aandelen van Santarus per November 25, 2013, there were 67,326,021 shares of Common Stock outstanding. Maw, per 1$/aandeel, zou Salix 67.326.021 $ willen betalen oftewel 49.305.032 Euro. De huidige beurswaarde Pharming = Shares at 7 November 2013 ; 3Q cijfers, = 332,434,319.x 0.145= 48.20.976,00 Euro. Stel dat Salix 2$ betaalt voor Ruconest…. tja, dan zijn we bij ‘Kerpeltje’ zijn advies, toch? Jullie? Schieten maar! Suc6, Jurps,
Bedankt voor plaatsen Jurpsy is interessant. Alleen maak je wel een denkfout. In bovenstaande biedingsdiscussie tussen tussen Salix en Santarus gaat het o.a. over de waarde van de distributie rechten van Ruconest, dat is iets heel anders dan de waarde van Pharming. Santarus krijgt bij de vermarkting van Ruconest 70% van de opbrengst. Pharming krijgt maar 30% en daar gaan dan de produktiekosten nog vanaf! daarnaast heeft Pharming nog de kosten van een beursgenoteerde onderneming met directie en bestuur etc. Plus nog een ontwikkelingslab etc. Kortom de waarde van de distributierechten zeggen nog niets over de waarde van pharming. groetjip
Hallo Jip, hoe is het in Z. Amerika? Ik neem aan dat je nu daar bent, toch? Anders heb ik het verkeerd gelezen van de week. Pharming/Ruconest. Een terechte opmerking. Het is idd. zo dat 30% van het omzetcijfer van de verkoop van Ruconest naar Pharming komt. ….en 70% , ‘min de kosten allerlei aard’ , naar Santarus. (Salix). Het gaat mij voornamelijk over wat dat Salix uiteindelijk uit de geldbeugel gaat halen voor Ruconest (als dat al is?). Dit heb ik willen achterhalen afgaand uit het verloop van het biedingsproces. Het is niet zo dat ik hiermee de waarde van Pharming heb willen bepalen. Er meer als alleen maar de US. Ik heb enkel de huidige beurswaarde weergegeven. Niettemin leuk om uit de onderhandelingen van Salix met Santarus een klein beetje te destilleren wat beide partijen van Ruc in de States verwachten.

Salix Pharmaceuticals Ltd. filed the formal tender offer for its $2.6 billion acquisition of Santarus Inc. and the Santarus recommendation shows the company was reasonably shopped, making a rival bid unlikely. Shares of Santarus had been trading over the $32 per share deal value last week. The tender offer filed Tuesday has an initial expiration date of Dec. 31. The companies have said they anticipate a first quarter deal close. The initial 15-day waiting period for the Hart-Scott-Rodino process with the Federal Trade Commission expires Dec. 9. Salix is acquiring diabetes and heartburn medications to fit with its gastrointestinal business. The merger includes a side agreement whereby Santarus will return all rights and data for Rifamycin SV MMX, a treatment for traveler's diarrhea, to Cosmo Technologies Ltd., its licensing partner for the drug. Salix has a Xifaxan (rifaximin) product indicated for travelers' diarrhea. The companies do not think the merger needs antitrust approval outside the U.S. The 14D9 Santarus' management support filing with the Securities and Exchange Commission reveals that in October as price talks between Salix and Santarus were evolving, Santarus' financial advisor Stifel, Nicolaus & Co., contacted potential strategic buyers and two private equity firms to test their interest. The parties contacted included large pharmaceutical companies and large specialty pharmaceutical companies with similar therapeutic focus on gastrointestinal, endocrinology or hereditary angioedema/orphan diseases, or had strategic talks with the Santarus in the past, among other criteria, according to the filing. Only one signed a confidentiality agreement but never made an offer. The price discussion with Salix that resulted in the $32 cash deal did include efforts on the part of Santarus to include a contingent value right for its drug Ruconest, a treatment for hereditary angioedema in late stage development. Those potential bids included Santarus seeking as much as $34 per share, with $2 in a CVR tied to Ruconest. With the tender offer filings, Santarus shares traded down from a premium of 25 cents at the end of last week to $31.95 at a spread of 5 cents. De koers is niet voor niets vastgezet rond de 14,5 cent en mag gewoon nog niet hoger om een eventuele overname niet te hoog te laten uitvallen...mijn theorie

Dit is een zéér realistische mogelijkheid. Maar wat is dan een goede overnameprijs ? Vergeet niet, dat er een enorme hoeveelheid Knowhow in dit bedrijf aanwezig is, dat heeft natuurlijk ook een waarde. Ik zeg € 0.60 !
En vergeet vooral niet de nederlandse belastingvoordelen die santarus/salix hiermee behalen
Weg doen of houden ?.....
Het kan vriezen en dooien...afwachten maar...een mogelijke split van aandelen kan ook nog maar dan zal een eventuele overname minder waarschijnlijk worden....komende weken zal het wel duidelijk gaan worden welke kant we opgaan. De partijen die er nu inzitten weten waar het naar toe zal gaan en willen in ieder geval geen geld verliezen. Gaat er vooral om welke keus het meeste geld voor de korte en middellange termijn gaat opbrengen...langer dan 6 maanden vooruit kijken doen grote beleggers toch niet en zeker niet als het om pharming gaat. Sijmen zal er geen probleem mee hebben als pharming door salix/santarus wordt ingelijfd...bonus heeft hij dan toch al te pakken.
Wat een fantastische beweringen staan hier weer in de bovenste pakweg 8 postings. Men lult gewoon over de terechte opmerkingen van Jip in dit draadje heen verder in zijn eigen straatje.
Klopt... de waarde van Pharming ligt natuurlijk veel hoger dan de waarde van Ruconest...maar dat is logisch :-)
