Dus ja, who's next.. 18:46 17Nov11 -FIG WRAP: Scramble for Core Tier 1 intensifies LONDON, Nov 17 (IFR) - Four more financial institutions joined the liability management fray on Thursday as the rush to improve Core Tier 1 intensified. SNS Bank, BNP Paribas, Northern Rock Asset Management (NRAM) and Bradford & Bingley all announced their intention to buy-back some of their subordinated debt stock at a discount to par, citing capital position improvement as the rationale. They followed the announcement by BES earlier on this week. Market participants expect the flow of liability management to continue as banks do everything they can to avoid going to the equity market to boost their capital base. "I think this is all about the banks trying to get ahead of what the EBA is going to ask them to raise," said a senior lawyer. "The last thing banks want to do right now is to issue equity at the current depressed prices. If they can deleverage, not pay coupons on hybrids, cut dividends, do liability management, then they'll do it. The amount of capital that needs to be raised is not huge and when they have a choice, banks will seek alternatives away from the equity markets." A credit analyst echoed his view. "The banks are taking advantage of the current prices and being a bit more aggressive than they have been in the past," he said. "There is going to be a huge amount of focus on core Tier 1 next year and liability management is a good way of getting banks there. Also, banks are facing a lot of calls and this is a way of tackling those, especially if they think regulators won't allow them to call deals going forward." A banker estimated the stock of step-up deals callable in the next 12 to 18 months was around EUR85bn, with a heavy skew towards UK, France, Spain and Italy. "For some banks, it can be a good exercise in investor relations, although for some, they seem to have gone in a little too aggressively." SNS Bank announced on Thursday morning that it was seeking to buy back two outstanding lower tier 2 issues at a discount to par, seeking to boost its core Tier 1 capital. SNS is targeting a EUR500m 6.25% bullet issue maturing in October 2020 and a EUR195.8m 6.625% bullet issue maturing in May 2018 for exchange into a new senior five-year euro deal with an expected maturity of November 30 2016. The yield has been set at five-year mid-swaps plus 450bp. SNS is buying the lower tier 2 bonds back at 73 and 80 for the 2020 and 2018 respectively. The bonds were trading around 58/60 and 64/66 respectively. UBS is dealer manager, SNS is co-dealer. SNS Reaal still needs to pay back EUR565m of state aid, plus a 50 percent premium, as well as EUR435m of aid from a foundation which also owns half of SNS Reaal's ordinary shares.

Zou de conclusie zijn dat de paniek in de markten de koersen van perps zo drukt, dat de financials hun kans schoon zien om ze tegen lagere koersen op te kopen? Beleggers worden vanzelf zenuwachtig met dit soort berichten.
in het geval van SNS is het een inkoppertje. kost geen liquiditeit (want er wordt betaald met nieuwe obligaties). het levert boekwinst op die toegevoegd kan worden aan tier1 vermogen. wat wil je nog meer? hooguit zou je kunnen wachten op nog lagere koersen. bod van SNS steekt trouwens erg mager af tegen de Tier2 biedingen van BNP Paribas.

Het gaat er eerder om welk land omvalt....en of we een systeemcrisis gaan krijgen. Ik kan me op zich wel voorstellen dat dat kan gebeuren. Je moet echter toch aannemen dat de betrokken politici dat op het allerlaatste moment zullen voorkomen. Het is voor Duitsland ook geen aantrekkelijk vooruitzicht, om, als de euro uit elkaar ploft, met een fors gerevalueerde mark zijn concurrentiepositie in duigen te zien vallen. Daarom heb ik vandaag maar weer eens wat perps opgepikt, de 7,25% ASR was in de aanbieding en ook een post 6% Eureko.
Nu weer Lloyds met een tender, voor leningen met een call date 2012 (waaronder uitgiften van HBOS). Inruil voor hoger renderend papier. Inruilkoersen ongeveer 4 procentpunt boven laatste koersen, wel ruim onder pari.www.investegate.co.uk/Article.aspx?id...
In het kader van de recente inruil-biedingen, overwegingen op FT Alphaville over het effect op mogelijke calls. Citaten: "... we are tempted to note that non-tendered bonds are not likely to be called; however, the economics of not calling rump sized issues creates a potential non-mover advantage as not calling small sized inventory is also costly, from an administrative perspective, to the bank. We have seen other banks make exchange offers and later call the bonds." "Some of the banks incentivised to get recognition of booked gains may include RBS, Barclays or Credit Suisse — quite apart from the eurozone banks who need to find senior debt to improve their capital ratios (and can’t exactly issue in markets)."ftalphaville.ft.com/blog/2011/12/02/7... Er speelt natuurlijk ook nog dat banken die nog staatssteun moeten terugbetalen, i.h.b. ING, niet zomaar een inruilbod kunnen doen. Is het daarom dat de 8% ING het de laatste tijd beter doet dan de Achmea 8,375% (wat steeds andersom was)?
Hoi Perplex, Bedankt voor je bijdragen. Wat bedoel je nu precies met je laatste paragraaf. Als ING geen inruilbod mag doen, zou dat toch de koers drukken?
Ik dacht zo, dat een inruilbod (beneden pari) de kans op een call (à pari) toch verkleint en daardoor minder potentiële winst biedt. Dus geen bod op de ING 8% doet ze stijgen. Wat zou een andere verklaring voor het gedrag van de Achmea t.o.v. de ING kunnen zijn? Groet, Perplex
Ok, zo had ik er nog niet naar gekeken. Is het trouwens echt zo dat ING geen bod mag doen? Is het niet zo dat ze alleen niet mogen callen. Deze regels hebben toch het uitgangspunt dat ING niet te 'aardig' voor de belegger mag zijn. Een bod onder pari, is juist goed voor ING. Overigens is het verschil weer aardig teruggelopen, mogelijk was het ook voor een groot deel markt-inefficiëntie. Ik heb zelf een paar weken geleden een flink deel van mijn ING 8 omgeruild voor Eureko 8.375 vanwege het verschil.
Ze mogen wel een bod doen, maar inderdaad ze mogen niet te aardig zijn, zoals ze bijvoorbeeld ook niet de hoogste spaarrente mogen bieden. Uit bijvoorbeeld Commerzbank en SNS die nog in het krijt staan bij de staat, blijkt dat bieden wel kan. Zoals in het Alphaville verhaal stond, zijn er voor- en tegenargumenten waarom na een omruilbod een call minder waarschijnlijk zou zijn. Prima timing trouwens, je switch naar Achmea. Die zullen als verzekeraar vermoedelijk geen bod doen, want daar gaat het om: de banken hebben geld nodig door de aankomende hogere kapitaalseisen aan banken .
AMSTERDAM (Dow Jones)--Achmea bv gaat de goodwill op zijn Leven-en Pensioenactiviteiten ter waarde van EUR279 miljoen volledig afboeken wat tot een negatief resultaat over 2011 zal leiden, maakt de verzekeraar dinsdag bekend. De afboeking is het gevolg van de verslechterende marktomstandigheden in Nederland. De verzekeraar stelt dat de markt voor levensverzekeringen in de afgelopen vijf jaar is verminderd, onder meer door de toegenomen vraag naar bankspaarproducten die nu dezelfde belastingvoordelen hebben die voorheen enkel golden voor levensverzekeringen. De krimp is volgens de verzekeraar structureel. Zonder de afboeking behaalde Achmea over 2011 een nettowinst van tussen de EUR40 miljoen en EUR80 miljoen. Dit is niet fris, vorig jaar nog een super(boek-)winst gerapporteerd, zodat ze een mega-dividend konden uitkeren aan de Rabobank en de Stichting en nu dit..... Natuurlijk wisten ze dit vorig jaar ook al, maar toen konden ze het nog even niet gebruiken, De kapitaalverhoging moest immers weer afgelost worden, foei Achmea !
Ik lig nooit zo wakker van afboeking goodwill, je moet toch altijd bij het bekijken van een balans met een schuin oog de hoogte van de goodwill in relatie tot het eigen vermogen in de gaten houden. Als er sprake is van een opgeblazen balans, zoals bij te hoge goodwill, kan een afboeking ook uiteindelijk gunstig uitwerken, omdat men nu weer meer winst zal gaan inhouden om de ´schade´ weer wat te herstellen. Overigens heeft ASR ruim 300 milj. goodwill op de balans staan, t.o. ruim 2,4 miljard eigen vermogen, dit hoeft ook niet uitsluitend betrekking te hebben op levenactiviteiten.
