Nokia Nears Decision Time for Venture With Siemens HELSINKI—Decision time is nearing for Nokia Corp. NOK1V.HE -0.55% Chief Executive Stephen Elop on how to proceed with the Nokia Siemens SIE.XE -0.53% Networks joint venture—a former problem child that has turned to a cash cow during his 30-month tenure. Nokia's joint-venture agreement with Siemens AG on Wednesday gives each partner the freedom to do what it wishes with its stake in the venture without the other party having veto power. The companies in the short term plan to continue operating the seven-year-old business as usual. For Siemens, the road is clear. The German company said recently that it would likely exit the mobile-network partnership this year. Analysts assign an enterprise value to Nokia Siemens of between $8 billion and $10 billion, and Siemens has been selling telecommunication assets in recent years. But Mr. Elop has a harder choice. The one-time Microsoft Corp. MSFT +0.83% executive is betting that the Lumia smartphone, which runs Microsoft's Windows software, and the line of Asha phones for emerging markets will grease a Nokia turnaround. Meanwhile, the company is taking bold steps to conserve cash—including selling its Espoo, Finland, headquarters and suspending dividend payments. Nokia Siemens is proving to be valuable in this waiting game, having delivered $3 billion in gross cash to Nokia and posting a fourth-quarter operating profit that outperformed Swedish network-equipment powerhouse Ericsson. That is a stark turnaround from a Nokia Siemens that once was bloated and needed capital from its parents. Mr. Elop in January said Nokia Siemens must "make progress toward becoming a more independent entity." But the wireless-network business has been a stable source of cash when the Finnish company's core mobile-device business is struggling to keep pace with Apple Inc., AAPL -2.08% Samsung Electronics Co. 005930.SE +1.13% and other players in the global smartphone business. Mr. Elop has supervised the slimming down of Nokia Siemens, in part through thousands of job cuts. At the same time, Nokia has ramped up its dependence on Nokia Siemens's ability to feed the top line. The venture represented 46% of Nokia's sales last year, compared with 30% when Mr. Elop arrived. That being the case, Nokia looks more like a top-notch wireless-network operator than a smartphone maker. Ericsson undertook such a transformation several years ago, moving away from the flashy business in hand-held devices toward the less-sexy-but-profitable networks business. Morgan Stanley MS -1.39% equities analyst François Meunier told investors recently that there are three potential outcomes for Nokia Siemens, assuming Siemens steps away. The first is to woo a partner to either fund Nokia taking control or ditching the effort altogether. The second is Nokia finding a new shareholder, such as France's Alcatel-Lucent SA, ALU.FR +2.64% to engage in a similar arrangement as Nokia has with Siemens. The final possibility is an initial public offering. Bernstein Research analyst Pierre Ferragu said Nokia eventually will want to cash out but not yet. "Nokia Siemens turned the first corner at the end of last year, but it doesn't have the track record of sustained profitability you need to get a good price," he said. Morgan Stanley estimated that the Nokia Siemens business represents about $1 a share for Nokia's stock price. The company's shares closed at $3.23 on Thursday, giving the company a market capitalization of $12.2 billion. For Mr. Elop, Nokia Siemens may be among the most valuable assets in his portfolio, along with the company's patents. The company's pool of thousands of patents has been valued by various analysts at between $5 billion and $6.4 billion, but a chunk may be valueless outside Nokia's research-and-development system. The mapping business, which was acquired by Nokia in 2007 for $8 billion, was valued by Deutsche Bank DBK.XE -0.23% at about $2 billion. Many analysts don't assign much value to Nokia's core mobile-device business. "If Nokia wanted to sell its handset business, there probably wouldn't be a buyer around, so it is forced to keep it," Mr. Ferragu said. "Keeping the stake in Nokia Siemens Network is a very good way for Nokia to mitigate the problems the company faces in handsets."
Microsoft to Make Leaps in the Mobile Enterprisewww.cio.com/article/730960/Microsoft_...
