Beste Junkyard, Ik deel zeker jouw mening m.b.t informatie en rollen. Vanzelfsprekend is deze informatie openbaar en zijn maatregelen getroffen m.b.t handel in NSI. We kunnen niets anders dan de mutaties van Icamap in NSI buiten de closed periods om nauwlettend volgen en zeker om aanvullende informatie vragen als het belang van Icamap in NSI wordt afgebouwd. Vooralsnog voldoet de nieuwe strategie van NSI aan de doelstellingen en vertrouwen van Icamap en het zou mooi zijn als ook andere partijen een deelneming zouden nemen in NSI. M.b.t de tijdlijn van NSI heeft Icamap de volgende meldingen geplaast: 15/1/2016: belang van 4,81% in NSI 21/1/2016: belang uitgebouwd naar 5,04% in NSI 24/4/2016: benoeming Harm Meijer in de Supervisory board van NSI 25/8/2016: benoeming Bernd Stahli tot CEO voor 4 jaar 20/2/2018: belang uitgebouwd naar 10,01% in NSI In 2017 is de nieuwe strategie van NSI geïmplementeerd en heeft de omgekeerde stock split plaatsgevonden om grote kapitaalkrachtige beleggers aan te trekken. Interview in FD Persoonlijk van zaterdag 10 maart j.l. Jong en commissaris Harm Meijer (43) Commissaris: bij beursgenoteerd kantorenfonds NSI Is: oprichter en directeur van actief belegger in vastgoedfondsen ICAMAP, Londen Als commissaris bij het beursgenoteerde NSI heeft econometrist Harm Meijer een bijzondere positie. Hij vertegenwoordigt ook de grootste aandeelhouder in het vastgoedfonds. Dat zit zo: na meer dan acht jaar als vastgoedanalist bij JP Morgan in Londen, begon hij met twee compagnons een bedrijf dat investeert in vastgoedfondsen die niet zo lekker lopen. Die geven ze een zetje. Eind 2015 besloten ze te beleggen in vastgoedfonds NSI. De president-commissaris vroeg hem bij de rvc. ‘Het vertrouwen van beleggers was laag, en ik had een groot netwerk.’ Kritisch meedenken met de directie is volgens hem minstens zo belangrijk als de toezichthoudende taak van de rvc. ‘Buitenlandse beleggers vinden Nederlandse rvc's slaperig’ Buitenlandse aandeelhouders vinden Nederlandse rvc’s slaperig, merkt hij. ‘Dat is wel een probleem, daar moet wat aan gebeuren.’ Meer diversiteit is een goed begin, denkt hij. Een mix van mannen en vrouwen, verschillende types en sectoren. Jongeren ook: die zorgen voor een frisse wind. Nadeel kan hun ongeduld zijn, erkent Meijer. ‘Ik ben zelf ook ongeduldig. Terwijl je soms even wat minder hard moet rennen om tot een goed besluit te komen.’ Inmiddels gaat het een stuk beter bij NSI, vooral dankzij het nieuwe management. ‘Dat is voor de rvc het halve werk.’
Merci, deze positie en potentiële belangenverstrengeling was dus van begin af aan al duidelijk. Ik neem aan dat goede afspraken zijn gemaakt, maar ik blijf het wat merkwaardig vinden. Al met al wel vertrouwen in NSI, en de frisse wind onder de nieuwe CEO. Tot nu toe wordt er knap geleverd, en kan ik mij prima vinden in de uitgestippelde strategische koers inclusief de voorzichtigheid die hierbij wordt uitgesproken.
Hoofddorp, 26 maart 2018 Persbericht NSI koopt kantoorgebouw Q-Port in Sloterdijk voor € 36.8 mln NSI N.V. heeft een kantoorgebouw van 12.700 m² gekocht op Kingsfordweg 43-117 in Amsterdam. Het gebouw wordt aan acht huurders verhuurd verspreid over 15 vloeren met een resterende WAULT van 3,4 jaar (tot de eerste breekoptie). Het gebouw met een energielabel A heeft een leegstand van 24,7%. De bestaande huren liggen 10.2% onder de huidige markthuurwaardes, wat uitstekende mogelijkheden bied om waarde aan het gebouw toe te voegen. De aankoopprijs k.k. van €36,8 mln genereert een aanvangsrendement op markthuurwaarde van 7,1%. De aankoop past perfect bij de strategie van NSI om zich te richten op grotere kantoren in de grote steden met een nadruk op Amsterdam. Na deze aankoop vertegenwoordigt Amsterdam 46% (t.o.v. 44%) van de portefeuille Kantoren en HNK’s. De beleningsgraad (LTV) zal toenemen tot ongeveer 39,1% t.o.v. 36.9% per eind december 2017. Wanneer rekening gehouden wordt met recente en geplande verkopen, zal de beleningsgraad per eind juni 2018 weer dalen tot onder de 37%. Anne de Jong, CIO van NSI: “Dit is voor ons een uitstekende investeringen met meerdere mogelijkheden om waarde toe te voegen. Wij zijn heel enthousiast over het gebied Sloterdijk dat momenteel snel transformeert naar een multifunctioneel gebied met een dynamische en aantrekkelijke kantorenmarkt. Verder zijn wij zeer tevreden dat wij kwalitatief betere en grotere panden hebben kunnen kopen met netto aanvangsrendementen die niet veel verschillen van de aanvangsrendementen van de panden die wij verkopen, waardoor we het effect van de asset rotatie op ons directe rendement beperkt weten te houden.” NSI is bij deze transactie geadviseerd door Houthoff (juridisch), SGS (techniek) en CBRE (adviseur).

NSI is selectief in aankopen, en probeert nu vooral vanuit project ontwikkeling in portefeuille waarde te genereren. Mijn zorg is wel dat er enkele retail panden in portefeuille resteren die bijna onverkoopbaar zijn (vooral In de boogaard, 't Loon).

Aanvangsrendement van 7% zegt in mijn optiek niet veel. Stel er kan pas een herziening over 5 tot 10 jaar plaatsvinden? Of de markt neemt weer af? Om even snel te rekenen; 7% aanvangsrendement op 36.8 mio betekend een (markt)jaarhuur van 2.576.000. Op dit moment is het 10% lager; 2.318.400 25% leegstand; 1.738.800 aan inkomsten 4.725% aanvangsrendement Feit is dat NSI gewoon heel erg veel geld voor dit pand betaald. (Ondanks de potentiele upside) De toekomst zal moeten uitwijzen of het te veel is of niet. Qua Sloterijk ben ik het met je eens, nog steeds veel potentie.
Als de lege ruimtes worden verhuurd, dan stijgt het aanvangsrendement gelijk naar 6,6%. Ik neem aan dat NSI deze markt goed kent en al in gesprek is met potentiële huurders, en de kans op een spoedige verhuur hoog inschat. www.fundainbusiness.nl/kantoor/amster...
The idea is that they dispose retail space at similar yields. If they achieve this then they increase quality without compromising cap rates. BUT can they sell retail property at 6.6%?
Most of the retail properties have been sold. Local shopping center Keizerslanden (Deventer) was agreed to be sold in 2017, which will be delivered to the buyer once the extension is completed (Q2-2018). The retail assets NIY is 6.0% (see annual report), so this asset rotation (Keizerslanden > Q-port) is not lowering the direct result (but the office needs to be fully let). Offices are more vulnerable to economic conditions, as the shopping centers are anchored by supermarkets (long lease), and might be considered more defensive / low risk. But the rotation is fully in line with the NSI strategic focus (Amsterdam / randstad offices), and local retail is out of fashion due to online shopping.
Unfortunately shopping centers are also risky, in the USA they trade at 10%, even more at B locations, in USD of course. I believe Europe will follow, it's the amazon effect and supermarkets will also be affected (amazon bought Whole Foods). 7% in quality office portfolio cannot be found anywhere else in western Europe. The spread with the 10 year NL bond is more than 6% and Amsterdam/randstad seems to be a hot market. In this case NSI is an excellent investment! What is your opinion on the NSI office portfolio quality? Is it considered to be A quality?
Retail seems toxic these days, NL retail REIT's (like Wereldhave) are underperforming as well, online shopping has made it to NL without the help of Amazon :) However, the amount of US retail supply (pp) is not comparable to the NL, and the US (10y) treasury yield is well above NL yields (2,81% vs 0,65%). So lower NL retail yields can be justified by (on average) higher quality and a lower yield environment. The best NL prime offices are at the Amsterdam Zuidas, where yields have fallen below 4,0%. NSI has some quality office assets around the Zuidas. The offices NSI has been buying the lately are not the best (AAA) locations, as these yields are probably too low. But the assets are concentrated in well connected office areas (Amsterdam, Randstad region). Sloterdijk (Q-Port, Glass House) was a very weak area a few years ago (around 2013), a lot of empty offices when recession hit. Ihe area is very well connected and has come alive recently, as some offices were converted into other uses (residential, hotel, etc), and economic conditions have improved significantly. NSI is not aiming for AAA office quality, after completion of the asset rotation the office quality can probably be labeled as A. For now the overall quality is lower, as NSI still owns some lower quality regional offices (high vacancy rates).

junkyard Thank you very much for your input. It is always an advantage to listen to people with exact knowledge of the assets. I also agree with you on NL retail yields. It seems to be the case that NSI is a very good investment for the value investor. If you have a look at yields of office assets in Italy (CoimeRes, Beni Stabili), mostly Milan, they are at FFO 5.5% with Italy 10y at 2%. NL has lower government debt and better demographics. Amsterdam/randstad may also benefit in the coming years due to Brexit. The only disadvantage could be the change in REIT taxation. NL REITs have the highest spread to government 10y bond rates in Europe, FFO-country_10y and dividend_rate-country_10y are in the area of 5%-8%. In Italy the spread is 3%-5%. In the coming years country_10y is expected to increase and put pressure on the spreads. In the US, rate increases caused price decrease even in the best REITs. NL REITs appear to be safer than the rest. However I still don't understand why the spread is so high in NL.
Alstria in Germany, a country with a similar 10y yield, has FFO/share 5.2% and dividend rate 4.2%
Thanks green70! I think the NL REIT taxation probably won't change, as this would create a substantial difference to surrounding countries, and NL government probably won't like capital to flow to our neighbours. But this is uncertain for the moment. Dividend taxes (now 15%) will probably be scrapped in 2020. Or maybe a NL REIT specific taxation scheme is being prepared (?). NSI is the only office REIT in NL, other REIT's have a retail focus. I consider Vastned the most stable NL retail REIT at the moment, Vastned mainly holds premium inner city retail assets (no mall focus). Vastned is small sized and lower yielding due to higher quality. Wereldhave is the weakest / highest risk retail REIT, holding lower quality retail (local medium sized shopping centres), recently punished for weak results, poor management and decreasing dividend payout (trading 40% below NAV - speculative). NSI is doing OK in the asset rotation strategy from retail to offices last year, after the retail assets were heavily devaluated by NSI in 2016. The former NSI CEO had done a terrible job, issuing shares to selective investors when NSI was in trouble (decreasing the value of other shareholders). The new CEO is breaking with the past. But note some remaining retail properties still owned by NSI are very low quality. Shopping center 't Loon is poor quality (high vacancy), and shopping center In de Boogaard (Sterpassage) isn't good quality either (partially owned by NSI & Wereldhave). These assets will be hard to sell, which is probably the reason they are still owned by NSI. In 2017 there was another book value hit on the remaining retail assets, smaller in size compared to 2016 as the retail portfolio has decreased after disposals in 2017.
