    The 122-year-old US Steel is reviewing "numerous" buyout offers

    After receiving two buyout offers in the past month, U.S. Steel Tuesday that it is in the process of reviewing multiple offers for the storied company and symbol of American industrialization.

    U.S. Steel rejected a $7.3 billion buyout proposal from rival Cleveland-Cliffs (CLF) two weeks ago, and that offer was followed by $7.8 billion bid from the industrial conglomerate Esmark. Shares of the Pittsburgh steelmaker soared more than 30% on speculation that a deal was imminent.

    In a letter to shareholders Tuesday, U.S. Steel said it had entered into confidentiality agreements with “numerous” third parties and was beginning to share due diligence information with potential buyers.

    “Our number one obligation is to uphold our fiduciary duties,” the company wrote in the letter. “This means that we are focused on the path forward for our Company that drives the most value for you — our stockholders.”

    Shares climbed another 2% Tuesday.

    The proposal by Cleveland-Cliffs, first made on July 28, would create a company that would be among the 10 biggest steelmakers in the world and one of the top four outside of China, which dominates global steel production today. Cleveland-Cliffs CEO Lourenco Goncalves said a tie-up between the two U.S. steelmakers would create “lower-cost, more innovative and stronger domestic supplier for our customers.”

    Goncalves has said that he's ready to continue talks with 122-year-old U.S. Steel despite the rejection of its initial offer.

    Soaring prices have helped fuel consolidation in the steel industry this decade. Steel prices more than quadrupled near the start of the pandemic to near $2,000 per metric ton by the summer of 2021 as supply chains experienced gridlock, a symptom of surging demand for goods and the lack of anticipation of that demand.

    Cleveland Cliffs acquired AK Steel in 2019 right before steel prices began to spike and within a year, it acquired ArcelorMittal USA in 2020 for $1.4 billion. U.S. Steel bought Big River Steel the following year.

    Prices have settled back to around $800 per metric ton, but that remains at the top end of the spectrum for steel prices over the past six years.

    U.S. Steel has been a symbol of industrialization since it was founded in 1901 by J.P. Morgan (JPM), Andrew Carnegie and others, and the domestic steel industry dominated globally before Japan, then China, became the preeminent steelmakers over the past 40 years.

    Volgens mij hebben we weinig beweging van de koers te verwachten totdat bekend is of AM (een deel van) U.S. Steel gaat overnemen.
    De afgelopen maanden schommelde de koers tussen de 24 en 26 euro en de volumes werden alleen maar minder: vorige week woensdag 1,2 miljoen, donderdag 1,3, vrijdag 1,2, maandag 1,1 en gisteren 1,3. En ook vandaag zal het volume eerder lager dan hoger uitkomen.
    De economie zal langzaam stijgen in 2024 en wat meer in 2025 tenzij de oorlog in Oekraïne (hopelijk) eerder beëindigd wordt.
    Dus laten de longers zich maar vasthouden aan de zegswijze: sell in may and go away but remember to come back in september. ;-))

    One of the prominent players in this acquisition landscape is Cleveland-Cliffs Inc. CLF, which has made a substantial $7.3 billion cash-and-stock offer. Last week, a bid fromprivately-held steel company Esmark for U.S. Steel had fallen through, leaving ArcelorMittal SA MT as the sole known contender, apart from Cleveland-Cliffs. With Esmark's withdrawal, the competitive landscape has narrowed, possibly indicating a head-to-head showdown in the acquisition race.

    U.S. Steel has strategically invested in state-of-the-art electric arc furnace steelmaking and finishing capabilities, alongside focusing on carbon footprint reduction.

    U.S. Steel’s second-quarter adjusted earnings per share of $1.92 per share topped the Zacks Consensus Estimate of $1.86. Revenues fell around 20% year over year to $5,008 million in the reported quarter but beat the Zacks Consensus Estimate of $4,942.8 million.

    Another prominent U.S. steel producer, Nucor Corporation NUE, reported earnings of $5.81 per share for second-quarter 2023, down from earnings of $9.67 per share in the year-ago quarter. Earnings per share topped the Zacks Consensus Estimate of $5.59. NUE recorded net sales of $9,523.3 million, down around 19% year over year. The figure missed the Zacks Consensus Estimate of $9,733.8 million.

    Shares of U.S. Steel have gained 35% in the past year compared with a 40.5% rise of its industry.

    Dit lijkt me toch een mooie prijs om in te kopen.
    Bijna alle koersdoelen liggen boven de 30€

    Om een eventuele overname mee te helpen financieren?

    Zodat arcelormittal minder schulden op zich neemt, dan vind ik het een goede zaak.

    Maar we gaan niet vooruit lopen op de zaak.

    ArcelorMittal heeft interesse getoond in de overname van de ijzerertsmijnen en staalfabrieken van ESL Steel, onderdeel van Vedanta. Dit schreef de Business Standard op basis van bronnen.

    Naast ArcelorMittal, zouden ook JSW Steel en verschillende private equity-partijen interesse hebben getoond.

    Vedanta zegt zelf dat de waardering van de activa in totaal 100 miljard roepie bedraagt, omgerekend ongeveer 1,1 miljard euro, maar de mogelijke kopers willen de mijnen en fabriek tegen een korting overnemen, zo stelden bronnen tegenover de Business Standard.
