Cambridge, UK and Indianapolis, US – 1 June 2020: Acacia Pharma Group plc (“Acacia Pharma”, the “Group” or the “Company”) (EURONEXT: ACPH), a commercial-stage biopharmaceutical company focused on developing and commercializing novel products to improve the care of patients undergoing serious medical treatments such as surgery, invasive procedures or chemotherapy, announces an amendment to the terms of its loan agreement with a wholly-owned subsidiary of Cosmo Pharmaceuticals N.V. (“Cosmo”). Under the terms of the amendment, the €10 million loan facility that was made available on the approval of BARHEMSYS® is terminated and replaced with a €10 million equity investment at a price of €3.112 per share, which represents an approximately 4.1% premium to the closing share price on 29 May 2020 and equates to 3,213,769 shares to be issued to Cosmo. In addition, a further 367,893 shares are being issued to Cosmo (at an equity subscription price of €2.99 per share) in satisfaction of a €1,100,000 break fee payable under the terms of the loan amendment. The €25 million loan facility, which will be made available by Cosmo on the approval of BYFAVO™ has not been affected by this transaction. Mike Bolinder, CEO of Acacia Pharma, said “We greatly appreciate the flexibility and strong show of support from our strategic partner, Cosmo Pharmaceuticals, which strengthens our balance sheet as we prepare to begin commercialization later this year.” Alessandro Della Chà, CEO of Cosmo, said ““We strongly believe that Acacia Pharma has the potential of becoming a leading player in its field. In order to do so the company must be well financed. By moving from debt to equity we contribute towards the strengthening of Acacia Pharma’s financial structure and will now have an equity stake of 18.5% in the company.” Application will be made to Euronext Brussels for the admission of 3,581,662 Ordinary Shares of £0.02 each (the “New Ordinary Shares”) to begin trading on Euronext Brussels ("Admission”). The New Ordinary Shares will rank pari passu in all respects with the Company's existing Ordinary Shares in issue. Admission to listing is expected on 4 June 2020. Following issue of the New Ordinary Shares, the Company's total issued share capital will consist of 67,855,918 Ordinary Shares with one voting right per share. The Company does not hold any Ordinary Shares in Treasury. Therefore, following the issue of the New Ordinary Shares, the total number of voting rights in the Company will be 67,855,918.

Zeker niet. Ik denk dat Cosmo groot vertrouwen heeft dat ByFlavo wordt goedgekeurd door de FDA en dat ze juist nu de lening omzetten in aandelen Acacia en niet daarna als de koers van Acacia daardoor hoger staat.
Eerst nadenken voor men iets post. Is zeker goed nieuws en een teken dat Cosmo veel vertrouwen heeft in Acacia anders deden ze dat niet. Mooie deal voor beide partijen.
Zeker goed nieuws! Cosmo zal zeker begrijpen dat ze beter nu goedkoper aandelen hebben. Ze verwachten een grote stijging. Ik verwacht ze ook! Komt goed !!
Bovendien versterkt dit de cash positie van Acacia. Drie keer goed nieuws, dus: blijk van vertrouwen door Cosmo, emissie boven de koers, versterkte cash positie. De mensen bij Cosmo zijn ook niet dom en beseffen ten volle dat ze een gouden zaak doen aan deze solden prijzen. Het zou me niet verbazen mochten ze hun positie nog verder uitbreiden. Hun cash positie laat het alleszins toe.

Ik denk niet direct aan een overname, want daarvoor zullen ze hun schuldgraad moeten verhogen wat in deze tijden niet direct aangewezen is, tenzij het een overname wordt met Cosmo aandelen. Echter, ze zitten op de eerste rij om het aanzienlijke potentieel van Acacia in te schatten, en een verdere versterking van hun positie lijkt me dus niet uitgesloten. Verdere samenwerkingen voor een meer optimale benutting van de Acacia sales staff behoort ook zeker tot de mogelijkheden lijkt me.

Ik ben ervan overtuigd dat in aanloop naar de potentiële goedkeuring van ByFavo de koers gaat oplopen richting 4 euro. Daarmee wordt technisch gezien ook een meerjaarse weerstand doorbroken wat een verdere stijging in geval van goedkeuring zeker mogelijk maakt. Gezien mijn overtuiging dat ACPH zwaar ondergewaardeerd is (zie mijn post van 29 mei), en op voorwaarde dat de goedkeuring er komt, acht ik een koers van tussen de 5 en 6 euro dit jaar zeker mogelijk. Ik zou nu zeker niet verkopen, want je loopt het risico dat als je terug wil instappen, dat dit aan een hogere koers zal zijn. Benieuwd of mijn glazen bol een goede is :)
Dat bepaald de prijs van de overname. Hoe hoger de prijs hoe hoger de koers maar zover zijn we nog niet. Het zijn nog maar altijd gedachten en eer het zo ver zal komen, dat zien we dan wel. Eerst zelf nog klimmen.

Ik denk dat je glazen bol het zeker niet slecht zal doen ;-) €5 à 6 moet zeker haalbaar zijn dit jaar (bij goedkeuring) en op LT nog veel meer.

Ik zie Acacia als een overname kandidaat. Als ByFlavo wordt goedgekeurd versterken beide producten elkaar als de salesmanager in een ziekenhuis binnenkomt. Heeft de arts interesse in ByFlavo dan kan ook Barhemsys onder de aandacht worden gebracht en andersom is ook mogelijk. Aandeelhouder Gilde Healthcare 2 met 26,5% van de aandelen, is een fonds dat in een ontwikkeling van een medicijn instapt en bij succes wil cashen om vervolgens in een nieuwe ontwikkeling te stappen. Ook Cosmo zal niet tegen zijn als een grotere farmaceut hun product vermarkt en bovendien kunnen ze ook cashen en het geld stoppen in de ontwikkeling van een nieuw darm medicijn. Ik zie dit allemaal wel zitten.

PAION ANNOUNCES APPROVAL OF COMPASSIONATE USE FOR REMIMAZOLAM IN ITALIAN HOSPITAL Aachen (Germany), 02 June 2020 – The Specialty Pharma Company PAION AG (ISIN DE000A0B65S3; Frankfurt Stock Exchange Prime Standard: PA8) today announces that the local Ethics Commitee of the Hospital San Raffaele in Milan/Italy has granted approval for the compassionate use of remimazolam for the use of sedation of five intensive care unit (ICU) patients with COVID19. After that inital use the treatment might be extended to a wider number of patients at the hospital. PAION was contacted by the San Raffaele Hospital as to whether remimazolam could be delivered since a shortage of propofol and midazolam due to the coronavirus pandemic occurred. PAION will fulfill the request from the hospital and will deliver the material free of charge. Dr. Phillips (CEO of PAION AG) commented: “We are pleased to be able to help San Raffaele during the current Covid-19 crisis, and to be able to contribute to the global fight against the pandemic.” Compassionate use is allowed under EU law under strict conditions and refers to the use of medicines that are expected to help patients with life-threatening, long-lasting or seriously disabling illnesses but that are not yet authorized or licensed. Within a compassionate use program, medicines can be made available to patients if sufficient indication of the efficacy and safety of the medicinal product exists. In clinical studies, remimazolam demonstrated efficacy and safety in approximately 2,900 volunteers and patients. Remimazolam has received marketing authorization in Japan, and marketing approval applications have been submitted inter alia in the U.S. and in Europe. ### About remimazolam Remimazolam is an ultra-short-acting intravenous benzodiazepine sedative/anesthetic. In the human body, remimazolam is rapidly metabolized to an inactive metabolite by tissue esterases and is not metabolized by cytochrome-dependent hepatic pathways. Like other benzodiazepines, remimazolam can be reversed with flumazenil to rapidly terminate sedation or anesthesia if necessary.
