(Bill) Anderson will become the new Chairman of the Board of Management of Bayer AG. This was decided by the company’s Supervisory Board at its meeting today. Before assuming the position of Chairman of the Board, Bill Anderson will join the Board of Management of Bayer AG on April 1st, 2023. The change of personnel in the position is the result of a diligent search and selection process that was kicked off mid last year. Bill Anderson is a chemical engineer by education and has most recently served as CEO of Roche’s Pharmaceuticals Division. He will follow current CEO Werner Baumann, whose contract was originally scheduled to run until April 30, 2024. Werner Baumann will work closely with Bill Anderson to ensure a smooth transition process before retiring from Bayer end of May 2023.
Dat gaat de goede kant op. Bayer is natuurlijk lang (erg) laag gewaardeerd door o.a. de "lawsuits" en reactief passief management. Zowel het eind van de lawsuits zou langzaam in zicht moeten komen, maar vooral het feit dat er nu actie komt na druk van een aantal activistische aandeelhouders is goed nieuws! Die pleiten er ook voor eens te kijken naar opdeling in in verschillende takken. Eens zien of de onderwaardering er nu uit gaat... Een prijs van 85-90 op korte termijn zou in mijn optiek realistisch zijn.... Disclaimer: ik heb aandelen en call-opties.
In elk geval is de nieuwe topman een mooi bericht. Hopelijk kan hij ook de boel richting fda meer vlottrekken, dat heeft nu wel lang genoeg geduurd. Maar ja, die Yankees. Het spel lijkt nu goed op de wagen.

Denk dat het te maken heeft met het volgende bericht wat niet helpt bij de opsplits fantasie die er heerst. Gezien Grioli zijn positie bij Bayer zelf. Gisteren bleek trouwens de short interest ook even 88% hoger dan normaal, behoorlijk gestuurde daling, daar kan je lastig op anticiperen. 18 februari 2023 11:08 Braziliaans Hooggerechtshof oordeelt dat Bayer 252 miljoen dollar aan royalty's voor GGO-soja moet terugbetalen Dat zei Aprosoja-MT vrijdag in een verklaring. De uitspraak van 13 februari door rechter Nunes Marques van het Hooggerechtshof heeft betrekking op een GGO-technologie die commercieel bekend staat als Intacta RR2 Pro, gemaakt door Monsanto, dat later werd overgenomen door het Duitse Bayer. Bayer zei in een verklaring dat het zijn volgende stappen zal bepalen, maar merkt op dat het zich aan de uitspraak zal houden. De uitspraak is het laatste hoofdstuk van een langdurige strijd tussen het gewaswetenschappelijke bedrijf en Braziliaanse boeren, die meerdere juridische stappen tegen het bedrijf hebben ondernomen. In 2017 hebben boeren van Mato Grosso Monsanto aangeklaagd wegens datzelfde genetisch gemodificeerde zaad, in een poging de patentbescherming te annuleren door te beweren dat het geen technologische innovatie had gebracht. Twee jaar later sloten verenigingen van sojaproducenten in 10 Braziliaanse staten zich aan bij die rechtszaak. Aprosoja-MT zei dat Bayer volgens de uitspraak nu 1,3 miljard reais ($ 252 miljoen) op een geblokkeerde rekening moet storten om royalty's terug te betalen die boeren hebben betaald vanaf 2018. Bayer zei dat het de Marques-uitspraak analyseert, die specifiek verwijst naar op een rechtszaak die was aangespannen door boeren die beweerden dat het bedrijf royalty's in rekening bracht op een patent dat was verlopen. "Het is vermeldenswaard dat de Intacta RR2 Pro-technologie wordt beschermd door intellectuele eigendomsrechten van brede en diverse aard", aldus Bayer. Niet te vergeten: Bayer verwacht een significant hogere vrije kasstroom. Vind ik nogal belangrijk. Maar we moeten niet teveel goed nieuws achter elkaar hebben blijkbaar. Dat drukt namelijk de koers. Nadat de markt die Dinsdag middag einde beurs kennis nam van de nieuwe (en zeer gewenste topman), werd de Woensdag erna in notime de mooie koerssprong vakkundig om zeep geholpen. Inmiddels staan we ruim 10% lager, like the good news never happened... Ik blijf ontzag houden voor de manier waarop dit aandeel onopvallend, sinds het goede nieuws, iedere dag een heel klein tikje lager wordt gezet, of strak aan de ketting wordt gehouden. Frustrerend is het wel, echter de nieuwe topman van buiten het bedrijf, is iemand met kennis van zaken, precies zoals men zich dat wenste. Ik laat me verassen wanneer we los mogen van Mr Market ;)

The EBITDA margin before special items increased to 26.6 percent (2021: 25.4 percent). EBIT amounted to 7.012 billion euros, and was therefore more than twice as high as in the previous year. Net income came in at 4.150 billion euros (2021: 1.000 billion euros), while core earnings per share rose by 22.0 percent to 7.94 euros. Free cash flow more than doubled against the prior year, rising to 3.111 billion euros. Net financial debt amounted to 31.809 billion euros as of December 31, 2022, down 4.0 percent from year-end 2021. Cash inflows from operating activities and the sale of the Environmental Science Professional business were partially offset by cash outflows for dividends and negative currency effects. “These are very good results. Together with the Supervisory Board, we are therefore proposing a dividend of 2.40 euros to the Annual Stockholders’ Meeting. This represents a 20 percent increase compared to the previous year,” said Chief Financial Officer Wolfgang Nickl. With 982.42 million shares entitled to the dividend, the company is therefore set to distribute a total of 2.358 billion euros to stockholders for fiscal 2022 (fiscal 2021: 1.965 billion euros). Crop Science achieves record sales and industry-leading margin Sales in the agricultural business (Crop Science) advanced by 15.6 percent (Fx & portfolio adj.) to a record 25.169 billion euros, with business up in all regions. Growth was strongest at Herbicides (Fx & portfolio adj. 43.9 percent), which saw sales rise in Latin and North America and in Europe/Middle East/Africa in particular thanks to higher prices, as supply for glyphosate-based products was tight. Sales at Corn Seed & Traits rose 8.8 percent (Fx & portfolio adj.) as the division increased its market share. Price increases in all regions more than offset a decrease in acreages in North America and lower license revenues. Sales at Fungicides were up 5.2 percent (Fx & portfolio adj.), with higher prices in the Latin America and Europe/Middle East/Africa regions in particular more than offsetting a decline in volumes in North America. Sales at Soybean Seed & Traits were level with the prior year, with business growing in Latin America but declining in North America due to lower volumes. EBITDA before special items at Crop Science advanced by 46.2 percent to 6.867 billion euros, mainly due to the significant increase in sales. Earnings also benefited from contributions from ongoing efficiency programs and a positive currency effect of 284 million euros (2021: negative currency effect of 387 million euros). By contrast, earnings were mainly diminished by an increase in the cost of goods sold, which was primarily due to high inflation. The EBITDA margin before special items increased by 4.1 percentage points to an industry-leading 27.3 percent. Pharmaceuticals benefits from new products and Eylea™ Sales of prescription medicines (Pharmaceuticals) increased by 1.1 percent (Fx & portfolio adj.) to 19.252 billion euros. Over half a billion euros in sales came from the division’s new products: the cancer drug Nubeqa™ and Kerendia™ for the treatment of chronic kidney disease associated with type 2 diabetes. Sales of Nubeqa™, for instance, almost doubled year on year. Strong growth was also recorded for the ophthalmology drug Eylea™ (Fx & portfolio adj. plus 9.2 percent) and in the radiology business, which includes the Gadovist™ (Fx & portfolio adj. plus 9.0 percent) and Ultravist™ (Fx & portfolio adj. plus 17.5 percent) product lines. This was partially offset by declines due to factors such as additional tender procedures in China, especially for the oral anticoagulant Xarelto™ (Fx & portfolio adj. minus 5.8 percent) and the cancer drug Nexavar™ (Fx & portfolio adj. minus 41.2 percent). Xarelto™ sales were also impacted by price pressure in the United Kingdom and the expiration of the patent in Brazil. EBITDA before special items at Pharmaceuticals rose by 1.6 percent to 5.873 billion euros, benefiting from the increase in sales and, to a lesser extent, from income from the sale of non-core businesses. Earnings were diminished by investments in marketing new products and higher research and development expenses for platform technologies and projects in advanced clinical development. Bayer sees lower 2023 operating profit on cost inflation By Ludwig Burger FRANKFURT (Reuters) - Agriculture and pharmaceuticals company Bayer said operating earnings would likely decline in 2023, hurt by higher costs and by the reversal of last year's price boost for its glyphosate-based weedkillers. In a statement on Tuesday, Bayer said earnings before interest, taxes, depreciation and amortisation (EBITDA), adjusted for special items, would likely be between 12.5 billion and 13 billion euros this year, excluding the effect of currency swings. That would be a decline from the 13.5 billion reported for 2022, which was up 20.9% from a year earlier and slightly higher than analysts had expected on average, according to a consensus posted on the company's website. In his last presentation of the company's quarterly results, Chief Executive Werner Baumann said the company is active in the right areas of business.
