    IRVINE, CA, and HERSTAL, BELGIUM – April 20, 2020 – MDxHealth SA (Euronext: MDXH.BR), a commercial-stage innovative molecular diagnostics company, today announced that its U.S. subsidiary, MDxHealth Inc., has entered into a “Paycheck Protection Program” (PPP) loan with the U.S. Small Business Administration (SBA) in the amount of $2.3 million as part of the U.S Coronavirus Aid, Relief, and Economic Security (CARES) Act. These PPP loans are aimed at helping small businesses in the U.S. keep their workers on payroll by providing loans that are partially forgivable.

    IRVINE, CA, and HERSTAL, BELGIUM – 27 April 2020 – MDxHealth SA (Euronext Brussels: MDXH) (the "Company" or "MDxHealth") a commercial-stage innovative molecular diagnostics company, announces today that it entered into a subscription agreement with MVM V LP and MVM GP (No.5) LP, funds managed by MVM Partners LLP (collectively "MVM"), pursuant to which MVM has agreed to provide an equity investment to the Company for an aggregate amount of EUR 12,738,632.94 (or approximately $14 Million).

    The equity investment will consist of a subscription of 20,162,924 new ordinary shares of the Company at an issue price of EUR 0.632 per share, representing a 5% discount to the 45-day volume weighted average price. As a result of the transaction, MVM will become a 22% shareholder of the Company. The transaction is subject to limited customary conditions precedent and is expected to close on or about 15 May 2020.

    The net proceeds of the capital increase will be used to support the Company's growth strategy, as well as for general corporate purposes.

    As part of the equity investment, MVM will be entitled to have one observer at the board of directors of the Company as from today and, subject to completion of the transaction, for as long as MVM will hold in aggregate 5% of the Company's outstanding shares. In addition, the Company agreed that it will propose to the Company's general shareholders' meeting to appoint Eric Bednarski, PhD, as director of the Company. Kyle Dempsey, MD, shall be an observer to the board.

    The new shares to be issued will have the same rights and benefits as, and rank pari passu in all respects with, the existing and outstanding shares of the Company at the moment of their issuance and will be entitled to distributions in respect of which the relevant record date or due date falls on or after the date of issue of the new shares. The Company shall apply to Euronext Brussels for the admission to trading of the new shares as soon as practicable, and in any event within 90 days after their issuance.

    De punten op de agenda van de jaarlijkse en buitengewone algemene aandeelhoudersvergaderingen omvatten de voorgestelde goedkeuring van een aantal besluiten met betrekking tot het boekjaar afgesloten op 31 december 2019, evenals de verlenging van de machtiging aan de raad van bestuur om de aandelenkapitaal in het kader van het toegestaan ??kapitaal en de aanneming van een gewijzigde en herziene versie van de statuten in overeenstemming met de bepalingen van het Belgische Wetboek van vennootschappen en verenigingen, en weerspiegelt enkele technische wijzigingen.

    Wat ik me wel af vraag is waarom zo'n een partij zo'n dikke 20 miljoen aandelen koopt. Weliswaar met flinke korting. Ze staan nu op papier op flinke winst maar 20 miljoen aandelen raak je niet zo makkelijk kwijt als je kijkt naar de dagelijkse omzet. Voor mij is het onbegrijpelijk. MDx heeft tot dusver alleen maar teleurstellende resultaten behaald.

    Door de corona crisis zullen de resultaten nog rampzaliger gaan worden, mede omdat er voor deze testen een bezoek aan uroloog en een rectal toucher nodig is.

    Maar MDX is wel ontzettend goed in het steeds ophalen van nieuw geld, ongelooflijk maar waar, keer over keer weten ze weer nieuwe naïeve slachtoffers te vinden.

    Kijk eens wat IBers inmiddels verloren hebben bij alle voorgaande emissie's:):)

    MDxHealth rondt kapitaalinjectie af

    (ABM FN) MDxHealth heeft de kapitaalinjectie door MVM Partners voor 12,7 miljoen euro volledig afgerond. Dit maakte het diagnosticabedrijf vrijdag nabeurs bekend.

    MDxHealth heeft 20,2 miljoen nieuwe aandelen uitgeven tegen 0,632 euro per stuk. De aandelen zullen volgens MDxHealth zo snel mogelijk aangemeld worden bij Euronext Brussels en zullen binnen 90 dagen verhandelbaar zijn.

    MVM Partners wordt door de transactie een belangrijke aandeelhouder van MDxHealth met een belang van 22 procent. Ook mag de investeerder een plekje in de board vullen, zolang het ten minste een belang van 5 procent heeft.

    Het aandeel sloot vrijdag 1,3 procent hoger op 0,83 euro.
