hoi ABC, voor mij is punt 6 vergelijkbaar met abracadabra. zou je misschien kunnen uitleggen wat hier precies staat? de directeuren mogen 1 miljoen aandelen Sopheon kopen voor een prijs van maximaal 105%? waarom is dat goed voor de aandeelprijs? bedankt, gr. OVI

Klopt. Onze soof wil eigen aandelen inkopen. Goed plan wat mij betreft. Per 30-6 hebben ze zo'n $20M in kas (mijn inschatting). Dood geld als je er niks mee doet en het ook niet nodig is op termijn. Inkoop aandelen zorgt voor een hogere wpa. Groet ABC.
Inkoop eigen aandelen heeft bijna ieder bedrijf op de agenda staan. Het zou bij Sopheon niet verkeerd zijn ivm uitstaande optieregelingen. Ze genereren cash genoeg. Of 1x een superdividend is ook leuk. Ik ben over de fusie, overname etc anders gaan denken, Sopheon gaf in het laatste pb aan dat Prodex een grote rol heeft gespeeld in zuidoost-Azië. Ze hebben dus nog geen geschikt bedrijf gevonden en gaan met hun partners dus gewoon verder. Koersdoel Finncap is nog steeds 15 pond. Donderdag zal er wel een kleine update zijn. Gr Arie de Beuker
Dank je voor de duidelijke uitleg, en als het bedrijf aandelen in gaat slaan neem ik aan dat ze dat niet doen omdat het niet goed gaat.
Eigen aandeleninkoop tot max 1 miljoen aandelen dwz ongeveer 10 % van het totale aantal uitstaande aandelen. Barry en consorten varen hier wel bij, want de free float wordt dus ook aanzienlijk kleiner.
een bedrijf een ruime kas heeft kan er kortweg voor worden gekozen om schulden af te lossen, een overname van een andere bedrijf te doen, extra (super)dividend uit te keren of over te gaan tot het inkoop van eigen aandelen. Met de inkoop van eigen aandelen kunnen bedrijven de koers van hun aandelen kunstmatig beïnvloeden. Dit komt eigenlijk door twee verschillende oorzaken. Zo is het aan de ene kant het dividend per aandeel dat omhoog gaat en aan de andere kant het aantal aandelen dat natuurlijk terug zal lopen. Dividend Het dividend dat een bedrijf uitkeert is over het algemeen afhankelijk van de nettowinst. Op basis van de nettowinst wordt er een bepaald bedrag gereserveerd, dat men uit zal betalen aan dividend. Dit is als het ware een bedrag dat men uitkeert aan de aandeelhouders, als zijnde een soort persoonlijke winst. De aandeelhouders zijn namelijk eigenaar van het bedrijf en ontvangen op die manier een deel van de winst die er is gemaakt. Wanneer het bedrijf er voor kiest om tot de inkoop van eigen aandelen over te gaan neemt het aantal aandelen af en zal het te verdelen bedrag aan de andere kant in principe gelijk blijven. Het dividend wordt zo over minder aandelen verdeeld, waardoor het bedrag per aandeel hoger zal worden. Zo kan de koers van het aandeel op gaan lopen, aangezien aandeelhouders het over het algemeen prettig vinden om een mooi dividend te ontvangen. Aantal aandelen Wanneer een bedrijf er voor kiest om over te gaan tot de inkoop van eigen aandelen neemt het aantal aandelen op de markt natuurlijk af. Dit betekent dat de waarde van het bedrijf op dat moment minder is geworden wanneer men uitgaat van de totale waarde van de som van alle aandelen die er op de markt beschikbaar zijn. Om die reden is het bedrijf in principe ondergewaardeerd. Om die reden zal er over het algemeen een stijging van de koers van het aandeel plaatsvinden, zodat het kleinere aantal aandelen de oude waarde van het bedrijf weer zal reflecteren. Dit is echter geen garantie. Nadelen Uiteraard is er ook een keerzijde, met het inkopen van de eigen aandelen wordt ook het eigen vermogen naar beneden gebracht waardoor de verhouding tot de schulden kan verschuiven. Hierdoor kan een bedrijf een risicovollere investering worden, wat een koersdaling tot gevolg kan hebben. Daarnaast wordt het ook wel eens door sommige beleggers uitgelegd als gebrek aan groeivisie, blijkbaar ziet het management geen goede investeringsmogelijkheden.
Mogelijkheid om eigen aandelen in te kopen staat vanaf 2018 op de agenda van de Aandeelhoudersvergadering. In 2018 met dezelfde bewoordingen. Tevens aangegeven dat dit een punt is voor de aankomende 5jr, maar dat het wel zo "netjes" is om het elk jaar weer op de agenda te zetten.

Sopheon PLC AGM Statement RNS Number : 0250C Sopheon PLC 13 June 2019 ("Sopheon" or the "Company") AGM Statement At today's Annual General Meeting of Sopheon, the international provider of software, expertise, and best practices for enterprise innovation management solutions, the Board will give shareholders the following update and review of the business. In recent years, we have described how we have broadened our mission from one that helps R&D organizations to improve innovation, to one that helps major enterprises achieve their strategic goals. This extension of our vision into what some are beginning to call a third major pillar of the enterprise stack - alongside ERP and CRM - has dramatically expanded our horizons and potential. In an increasingly digital world, organizations are challenged to operate with more agility and velocity to survive and thrive; this is where Sopheon can add significant value to our customers. The potential addressable market for this opportunity is substantial. Sopheon continues to benefit from increased market recognition through industry business analysts such as Gartner and Forrester Research, having been named in 22 research reports in 2018. While executing on our growth strategy, we continued to strengthen our financial performance. Once again, revenues, EBITDA and other profit measures in 2018 all exceeded market expectations, and resulted in two upward revisions. Revenues rose 19% to $33.9m from $28.5m in 2017. EBITDA reached $8.9m, up 11% from $8m. Substantial realignment of our debt position in 2017 fed through into an even larger increase in profit before tax, up 25% to $6.4m compared to $5.1m the year before. Our balance sheet ended the year very strong, with net assets rising to $25.6m from $18.6m the year before, and net cash rising to $16.7m from $9.5m; 100% of this growth was generated organically. All of this was accomplished while achieving a historically high recurring revenue retention rate of 97 per cent. These core strategies, along with our tremendous staff and unique culture, have been at the root of our consistent and solid financial performance. As always with a mostly perpetual license model, such deals can have a big revenue effect on the period in which they close. In parallel, customer preference for Software as a Service ("SaaS") rather than perpetual licensing in our market is beginning to come through. With our strong balance sheet, we are assessing how to accelerate this migration to an even higher recurring revenue model. We also remain open to M&A opportunities, provided they align with our strategic priorities. When we published our annual report for 2018, we announced a proposal to increase our dividend from 2.5p to 3.25p per share, which we will put to shareholders at today's annual general meeting.
