    DISCLOSURE OF INSIDE INFORMATION PURSUANT TO ART. 17 OF THE EU MARKET ABUSE REGULATION (EU 596/2014, MAR)

    STEINHOFF GLOBAL SETTLEMENT PROPOSAL

    Steinhoff International Holdings N.V. (the "Company" and with its subsidiaries, the "Group") and the former South African holding company for such subsidiaries, Steinhoff International Holdings Proprietary Limited ("SIHPL"), are today announcing the terms of a proposed settlement to conclude the ongoing and disputed legal claims and pending litigation proceedings arising from the legacy accounting issues first announced in December 2017. The proposed settlement terms do not constitute an admission of liability by any member of the Group, or its directors, officers or employees in respect of any legal claims or litigation proceedings.

    If the settlement proceeds it will result in:

    - up to EUR266m being paid in settlement of market purchase claims against the Company and SIHPL;

    - approximately EUR104m being paid in settlement of claims of contractual counterparties against the Company and approximately ZAR9.4bn being paid in settlement of such claims against SIHPL;

    - a significant majority of claims are within the scope of the settlement however certain claims will not be settled and will be subject to ongoing dispute;

    - settlement consideration will be paid in cash and delivery of shares in the South African subsidiary Pepkor Holdings Limited ("PPH") at a deemed price of ZAR15 per share. Separate arrangements are being proposed for claimants who are also PPH managers;

    - the Company estimates that if the maximum PPH shares are applied in settlement, the remaining shares indirectly held by the Company in PPH will be in excess of 50 per cent of the total share capital of PPH; and

    - a majority of the noted material contingent liabilities and related uncertainty being removed from the balance sheets of the Company and SIHPL. If no settlement is concluded the contingent liabilities will continue and if all such claims were ultimately established in the amounts asserted, the current net asset value of the Group would fall short of the amount required to satisfy them in full.

    The settlement is subject to financial creditor and regulatory consents, as well as support from eligible claimants, and is subject to final implementation. There is no certainty that such consents or support will be obtained. One option for implementation of the settlement is by way of legal cram down processes in the relevant jurisdictions.

    -Als de schikking doorgaat, resulteert dit in:

    -Als er geen schikking wordt getroffen, blijven de voorwaardelijke verplichtingen bestaan en als al dergelijke claims uiteindelijk werden vastgesteld in de gestelde bedragen, zou de huidige netto-inventariswaarde van de Groep niet voldoen aan het bedrag dat nodig is om er volledig aan te voldoen.

    Wat mij zoveel lijkt te zeggen dat het een voorstel is en dat indien de schikking niet doorgaat, Steinhoff niet in staat zal zijn om aan de claims in de huidige vorm te voldoen. Maar goed dat laatste wisten we natuurlijk al.

    Over dit voorstel zal al uitvoerig onderhandeld zijn en misschien een eerste bod en heeft De Groep nog wat extra ruimte om aanvullende eisen in te willigen.
    We wachten de reactie van de belanghebbenden af. Spannend. Bij een akkoord spuit de koers pas werkelijk omhoog!

    Het is geen 'eerste bod', maar een definitief voorstel waar de claimants over moeten stemmen.

    Corrigeer me als ik iets mis maar in totaal gaat het dus om 266 mln. EUR + 104 mln EUR + ZAR 9.4 mld (=485,2 mln EUR) = 1.340,4 mln. Hoe groot is deze financiele belasting nog voor SNH?

    Het meeste wordt betaald in aandelen van een dochter, dus de betaling is geen probleem.

    Der skandalgebeutelte Handelsriese Steinhoff will die milliardenschweren Klagen von Aktionären und Partnern mit einem Vergleich beilegen. Das südafrikanische Unternehmen mit deutschen Wurzeln bietet dabei insgesamt rund 850 Millionen Euro in bar und in Aktien der afrikanischen Einzelhandelstochter Pepkor, wie es am Montag in Stellenbosch bei Kapstadt mitteilte.
    Vor zweieinhalb Jahren hatte Steinhoff eingeräumt, dass in der Bilanz mehr als sechs Milliarden Euro fehlten. Die Aktie stürzte daraufhin ins Bodenlose, der Konzern schrammte knapp an der Pleite vorbei. Die rund 90 Klagen gegen Steinhoff summieren sich inzwischen auf mehr als sieben Milliarden Euro.

    Dem Vergleichsvorschlag vorausgegangen seien zwölf Monate "intensiver Bemühungen", sagte Vorstandschef Louis du Preez. Er forderte alle Kläger auf, den Vergleich anzunehmen. Für die Aktionäre sind in dem Vergleich 266 Millionen Euro vorgesehen, für Vertragspartner der heutigen niederländischen Holding 104 Millionen Euro und für Klagen aus vertraglichen Ansprüchen gegen die Vorgängergesellschaft vor dem Börsengang in Frankfurt 2015 weitere 9,4 Milliarden südafrikanische Rand (umgerechnet 482 Millionen Euro). Der Vergleichsvorschlag bedarf der Zustimmung von Gläubigern, Regulierungsbehörden und Klägervertretern.

    Die im Kleinwerteindex SDax notierte Steinhoff-Aktie legte am Montag sechs Prozent auf 5,2 Cent zu.

    Man, man, man... Mijn telling klopt voor geen meter. Het is 855,2 mln.

    En de claim van Wiese maakt ook deel uit van de voorgstelde schikking.
