TIDMSPE RNS Number : 7627Y Sopheon PLC 08 December 2017 Embargoed Release: 07:00hrs Friday 8 December SOPHEON PLC AMENDMENT TO THE TERMS OF CONVERTIBLE LOAN STOCK Sopheon plc ("Sopheon", the "Company" or the "Group") announces that it has reached agreement with the holders of its remaining GBP1.94m of convertible unsecured loan stock (the "Loan Stock") to convert it into equity by the end of 2017. As previously announced, in 2009 and 2011, the Company issued a total of GBP2m of Loan Stock to a group of investors including members of the Board and senior management team. The Loan Stock, which carries an interest coupon at a rate of 8 percent per annum, is currently due to mature on 31 January 2019, and has a conversion price of 76.5p per ordinary share of 20p each in the Company ("Ordinary Shares"). Board members with an interest in the Loan Stock are Barry Mence (GBP640,000), Andrew Michuda (GBP45,000), Arif Karimjee (GBP27,000) and Stuart Silcock (GBP200,000). Rivomore Limited, a current substantial shareholder in the Company, has an interest in the Loan Stock of GBP640,000. Proposals have yesterday been put to the holders of the Loan Stock that would reconstitute the instrument such that it would automatically convert to equity on 22 December 2017, at the conversion price stated above, resulting in the issue of 2,535,947 new Ordinary Shares. This change will improve the profile of the Group's year end balance sheet and simplify the capital structure, as well as eliminating the interest charge going forward. In conjunction with this proposed amendment, a one-off payment of 8 percent of the face value of the Loan Stock will be made to holders of the Loan Stock in cash amounting to approximately GBP155,000, in recognition of the loss of their interest and repayment rights as a result of the early conversion. Irrevocable undertakings have been received from holders representing almost GBP1.7m of the Loan Stock, being over 85 per cent of the Loan Stock in issue, to vote in favour of a resolution to authorise the amendment of the Loan Stock instrument as described above at a forthcoming meeting of the Loan Stock holders on 22 December 2017 (the "Meeting"). The modification of the terms of the Loan Stock constitutes a related party transaction for the purposes of AIM Rule 13. In accordance with the AIM Rules for Companies, Daniel Metzger, as the director independent with respect to this transaction, having consulted with the Company's Nominated Adviser, finnCap Limited, considers that the amendment to the terms of the Loan Stock are fair and reasonable insofar as the Company's shareholders are concerned. Van de 2,5 miljoen aandelen uit de conversie gaan maar liefst 1,5 miljoen aandelen naar bestuur en familie. DIT ZIJN NATUURLIJK GOEDE SIGNALEN. De free float is al niet groot. Ik ga nog maar een plukje bijkopen !

Ik denk arie dat ze genoeg vet op de botten hebben om eerder van die last af te komen, ze weten natuurlijk dat begin volgend jaar erg goede jaarcijfers naar buiten worden gebracht. Dus dan nu die verwatering maar en zijn al de lijken uit de kast. En dan is het eindelijk bouwen en groeien naar meer winst en betere cijfers. Dus eigenlijk is het gewoon goed nieuws:-))

Arie, het is niet vervroegd, het is eerder dit jaar op 400 ook al eens gebeurd dat iemand geconverteerd heeft. Dat de maturity date op jan 2019 stond wil alleen zeggen dat men dan MOET converteren, eerder mag altijd. Maar bij die eerste keer zat ik me ook achter de oren te krabben hoor. Klaas

Nou Gartje, neem van mij aan dat het géén goed nieuws is, dat er zomaar 1/3 zoveel aandelen bijkomen. Aan de andere kant hebben ze blijkbaar dit geld wel nodig gehad, om de slechtere tijden door te komen (al denk ik ook wel eens: weer een goedkope truc om weer meer aandelen binnen te slepen van Mence. Aan de andere kant: het is zijn levenswerk zo'n beetje!). Maar omdat dit allang boven de markt hangt is dit waarschijnlijk al in het aandeel ingeprijsd en zitten er inderdaad "so to speak" geen lijken meer in de kast. Dus ik denk dat we in januari wel omhoog gaan richting de echte cijfers, zoals we dat vorig jaar ook deden. En het aandeel kan gecatapulteerd worden als het eenmaal echt gaat lopen allemaal. Ik weet het klaas, maar we wisten ook dat dit er aan zat te komen, dus ben blij dat het achter de rug is. En hopenlijk volgend jaar op goede cijfers de goede richting op, want ik neem aan dat mence en consorten gebaad zijn bij een hoge koers!!!
Zo denk ik ook Gartje. En ze overwegen uitkering van dividend. Winstgroei=dividendgroei. Ik denk eind dit jaar 15kk cash in huis. Gr Arie de Beuker

Dat zijn ze zeker, Mence heeft niet voor niks zo lopen harken ! Let wel, er hangen ook nog een hoop bedrijfsopties boven de markt. Ik weet niet hoeveel, maar vooral CEO Michuda heeft er een behoorlijk aantal toegewezen gekregen. En als ze dit jaar weer beter presteren worden het er almaar meer. Valt natuurlijk volledig in het niet bij de koersstijging bij goede/significant beter dan verwachte resultaten. Is de verwachting niet 23-25 miljoen dollar? En als dit stijgt naar die 30 uit de vacature, wat gaat er dan gebeuren? Ik ben erg hoopvol gestemd dit keer. Klaas
