    Artemis Signs Novo Share Sale Deal to Bank $20 million


    Artemis Resources Limited (“Artemis” or “the Company”) (ASX: ARV) advises that it has signed a Sale and Purchase Agreement (“SPA”) by which Artemis will sell its 4 million Novo Resources Corp. (“Novo”) shares to Canadian mining company, Kirkland Lake Gold Ltd (ASX:KLA, TSE:KL) (“Kirkland Lake Gold”), for total gross proceeds of A$20.7 million, being the Australian dollar (AUD) equivalent of Canadian dollars (CAD) $5.00 per Novo share (using an exchange rate of 1 CAD = 1.04 AUD).

    The share sale transaction was arranged on an unsolicited basis. Completion of the share sale transaction will significantly strengthen the Company’s balance sheet and provide significant funds to explore and develop its own conglomerate gold assessment strategy and to continue Artemis’s focus on bringing its broad base metals, cobalt and gold asset base in to production, with no dilution to shareholders.

    As a condition to completion, Novo shall release Artemis from the contractual 12 month hold period for these shares, which was originally due to expire in August this year. Deal closing is expected by the end of May.

    David Lenigas, Artemis’s Executive Chairman, commented;

    “This $20 million deal will significantly boost Artemis’s cash reserves without diluting shareholders. Our 50% interest in the exciting Novo/Artemis joint venture in the Karratha area remains unchanged and we are well funded to continue paying our share of JV expenses. Artemis believes that the decision by Kirkland Lake Gold to increase its position in Novo is further evidence of the strength in the conglomerate and paleo placer gold story.”

    Artemis Resources is selling its shareholding in Novo Resources to mid-tier Canadian gold producer Kirkland Lake Gold for $20.7 million.

    Artemis (ASX:ARV) and Novo are partners in the Purdy’s Reward conglomerate gold project south of Karratha in Western Australia’s Pilbara region.

    The company flagged the impending sale when it went into a trading halt earlier this week.

    Artemis isn’t short of cash though, with roughly $17.4 million in the kitty and no debt at the end of the last quarter.

    So why did it want more cash?

    As executive director Ed Mead told Stockhead “you can’t build companies with bottle tops”.

    “We could sit back and not expand, but we’ve been presented with an opportunity whereby Kirkland Lake Gold takes a bigger stake in the conglomerate story,” he explained.

    “It funds us to get into production plus heavily expand exploration and it’s not dilutionary to shareholders.

    “I don’t think we were getting any value in our stock for the fact that we had 4 million Novo shares. Nobody cared.”

    Shares added 5.3 per cent to trade at 20c on Friday.

    Artemis has about five different projects on the go outside of its JV with Novo.

    “Between our strategy to go into gold production in July with a number of our gold projects, we really want to push forward with a number of our other nickel, copper and cobalt projects,” Mr Mead said.

    “So we’ve grown the business by raising money and putting it into the ground. All our quarterly reports show that we have been spending money to grow the business and that’s why we’ve got a market cap of over $120 million.”

    CDF heeft gedeeltelijk winst genomen op Artemis en zit nog vol in Novo. Niet zo'n gekke keuze lijkt mij met de drills van Comet Wells aanstaande (ws volgende week) en het enorme gebied dat Hennigh de afgelopen jaren voor Novo heeft gestaked.

    Artemis is interessant als overname kandidaat maar heeft m.i. last van het hoge cowboy gehalte van CEO Dave Lenigas die in het verleden het ene na het andere bedrijf naar de afgrond heeft geholpen door eindeloos nieuwe aandelen te plaatsen. Maar goed, die overname zit er nog steeds in dus ik houd m'n aandelen, grootste positie is echter Novo, by far!

    JE klinkt iets minder positief over ARV dan eerder:-)

    Ik twijfel soms om (gedeelte) pakket over te hevelen van Artemis naar NOVO.
    Ben echter er nog vanaf gebleven, omdat ik met Artemis iets onder water sta en het volume aandelen vanzelfsprekend fors hoger is dan dat ik NOVO zou nemen.
    Mocht Artemis er qua koers even "vandoor gaan", dan zit ik beter nog in Artemis even.
    Ik verwacht ondanks de CEO, toch een koerssprong, door inderdaad een eventuele overname of ander nieuws. Dit kan nooit lang meer duren.
    Verschil met DL zijn andere bedrijven, is dat hij qua percelen en boorresultaten bijna letterlijk "toekomstig goud" in handen heeft.

    Hi GP10

    Willem heeft het hier volgens mij over de results van Comet Wells. Hij noemt het niet expliciet maar heeft het over Sprott, Kirkland Lake en Novo.... en dan moet het wel bijna over C.W. gaan.

    De press release zou al een tijdje gepubliceerd moeten zijn maar iemand op SH heeft Leo Karabelas (IR NOVO) gevraagd wanneer de grades en ounces van CW beschikbaar zouden komen. Leo vertelde dat dit waarschijnlijk de laatste week van Mei zou worden of wellicht zelfs de eerste week van Juni.

    Interessant is hierbij het volgende: het uitstellen van het bekendmaken van Comet Well results heeft wellicht te maken met een behoorlijke upgrade van wat we altijd al hebben verwacht van de grades van CW. Zie ook de zeer recente releases van Kairos en Pacton: updates en (vooral ook) upgrades van de ounces en grades. Blijkbaar ligt er heel veel meer dan velen tot voor kort dachten.

    Het uitstellen van het naar buiten brengen van de CW press release zou dan ook goed te maken kunnen hebben met acquisities door Novo van kleinere juniors in CW-area.

    Ik verwacht binnenkort een persbericht dat Novo's shareprice snel voorbij de $10 zal doen schieten.

    Comet Well West Conglomerate Gold Update.


    Highlights: • Gold now confirmed to extend from Artemis’ Purdy’s Reward conglomerate gold Project westwards through Novo Resources Corp’s Comet Well and in to Artemis’ Comet Well West tenements. • Artemis has identified ~67km of conglomerate and Mt Roe Basalt contact immediately west of Novo Resource Corp’s Comet Well. • 3.6kg (115 oz) of gold nuggets now recovered from 47K Patch. • Fine gold also evident with gold nuggets recovered from 47K Patch. • Programme of Works (POW) submitted to commence extensive exploration on Artemis’ Comet Well West conglomerate gold targets.


    David Lenigas, Artemis’s Executive Chairman, commented; “Artemis has now identified ~67 kilometres of potential gold bearing conglomerates associated with the Mt Roe Basalt contact, immediately west of Novo Resources Comet Well 6 kilometre long conglomerate gold project. Our exploration and bulk sampling programme is about to commence in earnest at 47K Patch, the source of the many gold nuggets reported today. Applications have also gone in with the DMIRS for an extensive exploration programme immediately to the west of Novo’s Comet Well.”

    Toch ben ik inmiddels uitgestapt uit Artemis en verdeeld over Australian Mines en Goldsource.
    Er is met voorkennis een spelletje gespeeld, voordat vandaag de resultaten bulksamples door Novo gepubliceerd werden.
    De aandelenverkoop door Artemis is ook voor mij nu helder waarom dit gedaan is.
    Ik heb even geen vertrouwen meer in Artemis.
