    ESPERITE (ESP) executes private placement. Educe Capital invests EUR 2 million

    EUR 1.2 million in equity and EUR 0.8 million by means of a convertible loan note

    Zutphen, The Netherlands - 26 May 2015

    ESPERITE announces an agreement with Educe Capital (Malta), a financial holding company, for a private placement of EUR 1.2 million in equity and EUR 0.8 million by means of a convertible loan note, generating total gross proceeds of EUR 2 million.

    Pursuant to the private placement, for a total subscription price of EUR 1,2 million, 389,610 new ESPERITE shares shall be issued to Educe Capital at a price per share of EUR 3,08, calculated on an average price of the past days. Following this issuance, ESPERITE will have a total of 10,191,832 shares outstanding.

    The unsecured convertible loan notes will bear interest at a rate of 7% per year, payable semiannually and be convertible from June 30, 2016 until maturity at an initial conversion price of EUR 3,08. The notes will mature on June 30, 2018, unless earlier converted or repurchased.

    The transaction with Educe Capital is expected to close on June 3, 2015 subject to customary closing conditions.

    GENÈVE (AFN) - Esperite heeft een onderhandse lening ter waarde van 2 miljoen euro geplaatst bij de financiële houdstermaatschappij Educe Capital. Dat maakte het stamcel- en geneticabedrijf dinsdag bekend.

    De lening bestaat voor 1,2 miljoen euro uit aandelen Esperite en voor 800.000 euro uit een converteerbare obligatie. Educe ontvangt 389.610 nieuwe aandelen Esperite tegen een prijs van 3,08 euro per stuk. Met de emissie komt het totaal uitstaande aandelen Esperite op bijna 10,2 miljoen.

    Esperite verwacht de transactie met Educe op 3 juni af te ronden.

    Bawuah-Edusei meldt belang in Esperite

    AMSTERDAM (AFN) - Kwame Bawuah-Edusei heeft een belang in Esperite. Dat bleek dinsdag uit een melding bij de Autoriteit Financiële Markten (AFM).

    Bawuah-Edusei, topman van de financiële houdstermaatschappij Educe Capital, heeft een kapitaalbelang en stemrecht van 8,44 procent. Er zijn geen eerdere meldingen van Bawuah-Edusei terug te vinden in de archieven van de toezichthouder.

    Onlangs meldde Esperite dat een onderhandse lening ter waarde van 2 miljoen euro was geplaatst bij Educe Capital.

    Aandeelhoudersvergadering Esperite op 23/12

    ZUTPHEN (AFN) - Esperite gaat op woensdag 23 december een buitengewone aandeelhoudersvergadering houden over goedkeuring van een nieuw aandelen-optieprogramma. Dat maakte het stamcel- en geneticabedrijf woensdag bekend.

    Eerst maar eens de informatie als inleiding van de Bava doorlezen om te begrijpen wat dit inhoudt.

    Amar paar keer meemakend, schat ik in dat hij een "employement incentive schedule" (verkapte bonusstructuur) wil invoeren voor Esperites keyplayers.
    Dit waarschijnlijk om de performance van zijn bedrijf in een stroomversnelling te brengen.
    't is een ambitieus mannetje, die volgens mij < 5 jaar grote resultate wilde zien.
    Nu de basis lijkt te staan, blijkbaar om zijn goede mensen te stimuleren\prikkelen tot meer en daarbij tegelijkertijd toe te werken naar een dieper geworteld behoud van sterspelers in het Esperite team.

    Dat past geheel in het beeld van zorgvuldig besturen wat Amar huldigt en er naar handelt.
    Hij wil elke schijn wegnemen , danwel voorkomen dat er bij Esperite maar "wat aangeklooid wordt".
    Het wachten is nu op de doorbraken in Frankrijk en Duitsland o.b.v. de deals die Amar\Esperite met verzekeraars \ instituten kan sluiten om zijn tests geaccepteerd en verzekerd te krijgen.

    Zodra hij dat netwerk in de lucht heeft , kan de omzettrein gaan draaien. Tests a Euro 400 - 600\stuk gaan snel omzet toevoegen in landen die oud Cryo Save nooit op de landkaart kreeg.

    Een mooie turnaround in de soft medical sector om te volgen en om in belegd te zijn.

    ESPERITE N.V. (Euronext: ESP, ‘ESPERITE’, or ‘the Group’) announces the issuance of a convertible loan note of EUR 925,565 to Mr. Frédéric Amar, ESPERITE’s Chief Executive Officer and largest shareholder.

    Zutphen, The Netherlands – 23 December 2015

    The issuance converts a payment obligation that ESPERITE has towards Mr. Amar relating to remuneration and pre-paid investments and expenses into the note. Mr. Amar has not participated in the decision-making of the Board of Directors regarding the issuance of the note.

    The unsecured convertible loan note will bear interest at a rate of 7% per year, payable annually in arrears on 31 December and be convertible into ESPERITE shares from 31 December 2016 (or at the earlier occurrence of a limited number of events) until maturity at an initial conversion price of EUR 1.89. This initial conversion price equals ESPERITE’s share price at the time the possible issuance of the note was being discussed and negotiated between the non-executive directors and Mr. Amar. The conversion price may be adjusted in a limited number of customary circumstances. The note will mature on 31 December 2018, unless earlier converted or repurchased. The note will not be listed.

    Esperite geeft schuldpapier uit aan topman

    ZUTPHEN (AFN) - Esperite heeft een converteerbare lening van 925.565 euro uitgegeven aan topman Frédéric Amar. Dat maakte de stamcelbank woensdag bekend. Het schuldpapier vervangt de betalingsverplichting die Esperite had jegens Amar in verband met salaris en voorgefinancierde investeringen.

    De lening loopt tot en met 31 december 2018, draagt een rente van 7 procent per jaar, en kan van 31 december 2016 tot aan het einde van de looptijd worden omgezet in aandelen Esperite tegen een conversieprijs van 1,89 euro.
