roll out of manufacturing capacity under its partnering program with Solvay
www.accsysplc.com/news/

The facts: Cleantech Building Materials (UK listed) announced plans to acquire Diamond Wood in a share swap deal. Diamond Wood owns the licence with Accsys for the production of Accoya wood in a large part of the Asian region. Our analysis: In November 2007, Accsys signed the exclusive licence with Diamond Wood for the production of Accoya in 13 Asian countries. The initial capacity was 500,000 m³ with an option to an additional 250,000 m³. Since the agreement, Diamond Wood has been trying to get the funding in place while a scheduled IPO has still not taken place. After these delays the capacity for the first phase has been lowered to 120,000 m³. In comparison, Accsys's own plant in the Netherlands has currently a capacity of around 40,000 m³. Accsys has invested EUR 10m in Diamond Wood and according to our latest information this reflected a stake of 6% (diluted from 15.4% in 2009). In 2000, Accsys has taken an impairment charge for the full purchase price of these shares of EUR 10m. The licence with Diamond Wood was signed in 2007 but since not much has happened what even came close to the start of a production plant for Accoya. After consulting several lawyers, Accsys terminated the license agreement in August 2013. Diamond Wood, however, appealed against this termination and won the arbitrage in September 2014. Accsys was obliged to pay GBP 1.6m to Diamond Wood and the license agreement had to be reinstated in full. Accsys recorded exceptionals for a total amount of EUR 3.1m, including its own legal costs related to this arbitrage. Cleantech Building Materials was incorporated in December 2014 and listed in London in February 2015, without having any activities. The company has been formed to undertake an acquisition of a target company or business in the cleantech building materials sector. The company was listed at a price of GBP 0.01 and in recent months jumped towards GBP 0.078, valuing the company at GBP 6m. Founding company of Cleantech Building Materials is Veritas Investments LLC of which mr Jeff Jaffrey is partner. He launched the Veritas I fund in 2008, which is currently invested in nine businesses, ranging from forestry to the medical device industries. He has also been (or still is) Investor Advisor at Diamond Wood, appointed in January 2013. So there lies the link between Cleantech Building Materials and Diamond Wood. If the acquisition of Diamond Wood is successfully finalised, Cleantech Building Materials will seek the equity and debt funding which is required to construct its own manufacturing plant in Asia and to provide working capital. In the last book year, ending March 2014, Accsys realised 7% of total revenues in Asian Pacific region, largely due to its own marketing efforts outside the Diamond Wood licence. We expect sales to grow in the Asian region anyway in the next few years and an eventual production site will definitely give a boost to further revenue growth of Accoya globally. Conclusion & Action: It is still early days to judge whether this attempt to build a production plant in Asia will be successful. We expect sales to grow in the Asian region anyway in the next few years and an eventual production site will definitely give a boost to further revenue growth of Accoya globally. Apart from the start-up problems in Asia, Accsys is showing strong growth in sales of Accoya in all the other regions. Our DCF includes the Solvay licence and attaches a 50% success rate to the first Tricoya licence. This reflects a value of EUR 1.30 per share: Buy.

Destijds verkeerd ingeschat.
