Aegon Takes EUR265M Charge To Compensate Policyholders

AMSTERDAM (Dow Jones)--Dutch insurance and pension company Aegon NV (AGN.AE) said Thursday it will take a EUR265 million charge to compensate clients who were charged excessive costs on unit-linked life insurance policies.

The charge, which will be booked in the second quarter, comes after the Dutch government ordered insurers to settle outstanding issues with policyholders with immediate effect.

Aegon previously aimed to settle compensation after the policies expired.

Dutch life insurers have sold around 7 million unit-linked policies, which gained popularity in the 2000s. The market collapsed after it was revealed that clients were charged excessive fees on many of these products and that they didn't deliver the promised investment returns.

At the end of 2008, the major players--ING Groep NV (INGA.AE), Aegon, Delta LLoyd NV (DL.AE) and SNS Reaal NV (SR.AE)--agreed a EUR2.5 billion settlement to compensate policyholders.

CGI Group To Buy Logica For GBP1.7B

LONDON (Dow Jones)-- Canadian information technology company CGI Group Inc. (GIB.A.T) Thursday said it has inked an agreement to acquire the entire issued and to be issued ordinary share capital of U.K. listed technology company Logica PLC (LOG.LN) for GBP1.7 billion, or C$2.8 billion.

MAIN FACTS:

-CGI Holdings Europe Limited, a unit of CGI, will acquire Logica by way of a scheme of arrangement.

-Under the agreement, Logica shareholders will be entitled to receive 105 pence in cash per Logica share.

-Acquisition values the entire issued and to be issued ordinary share capital of Logica at GBP1.7 billion, or C$2.8 billion, on the basis of a fully diluted share capital of 1.65 billion Logica shares.

-Consideration payable under the acquisition will be funded through a combination of the proceeds from the issuance of subscription receipts exchangeable for new shares in CGI to Caisse de depot et placement du Quebec (CDP) and debt funding from Canadian Imperial Bank of Commerce (CIBC), National Bank of Canada (NBC) and The Toronto-Dominion Bank (TD) to CGI.

-CGI has received irrevocable undertakings to vote in favor of the acquisition in respect of a total of 294.7 million Logica shares, representing 18.19% of the ordinary share capital of Logica in issue on May 30.

-Logica Directors advised by Rothschild, Bank of America Merrill Lynch and Deutsche Bank.

Wees blij dat er een EU is die toezicht houdt op politiek den Haag anders zouden er vele Blekersveldjes zijn die onder water gezet hadden moeten worden maar droog moesten blijven om eigen groente(belang) te kweken. Een aardig scenario is dat Saudi's bezig zijn Iran en Irak te pesten door de olieprijs lager te houden dan 100 usd, richting 80 usd.
