Je hebt helemaal gelijk. Er wordt echter ook gesproken over een squeeze out en Notes en dat roept weer nieuwe vragen op.
Transaction Details Ralph Sonnenberg and 3G Capital have entered into a definitive agreement (the "Block Trade Agreement") for the sale of a controlling interest of 75% in a holding vehicle (the “HoldCo”) through which Ralph Sonnenberg currently holds 93.59% of the issued and outstanding shares in Hunter Douglas. The Block Trade Agreement values the Ordinary Shares at €175 per share, and the preferred shares of Hunter Douglas (the "Preferred Shares") held by Ralph Sonnenberg at their nominal value of €0.24 per share (the “Nominal Preferred Share Price”). The Board of Directors of Hunter Douglas, comprising for this purpose only its independent directors (the "Independent Directors"), unanimously supports the transaction, and Hunter Douglas, Ralph Sonnenberg and 3G Capital and certain of their affiliates have entered into a support agreement in relation to the transaction (the "Support Agreement"). The parties to the Support Agreement have agreed that, following consummation of the Block Trade Agreement and completion of the Asset Sale (as described below), statutory squeeze out proceedings in accordance with applicable Curacao law and Hunter Douglas' articles of association will be initiated in respect of any remaining shares in Hunter Douglas (the “Buy-Out”). In these proceedings, the position will be taken that the price of such Hunter Douglas shares will be the same as pursuant to the Block Trade Agreement for each Ordinary Share, being €175, and €0.43 for each Preferred Share in the capital of Hunter Douglas other than the Preferred Shares held by Ralph Sonnenberg (the “Preferred Share Price”), representing the latest closing preferred share price prior to this announcement. This will allow minority shareholders to benefit from the same cash price for their ordinary shares as the controlling shareholder and a better cash price for their preferred shares than the controlling shareholder, in line with the Support Agreement. Rabobank in its capacity as independent financial advisor to the Independent Directors, has issued a fairness opinion confirming that the Purchase Price and the Ordinary Share Price are fair from a financial point of view. On the basis of such review, and the agreed terms for the protection of Hunter Douglas’ stakeholders, including minority shareholders as laid down in the Support Agreement, the Board of Directors has unanimously concluded and resolved that providing support to the transaction supports the ongoing, sustainable success of the business and is in the interest of Hunter Douglas and all of its stakeholders. Ralph Sonnenberg, the controlling shareholder and Executive Chairman of Hunter Douglas, did not partake in any deliberations or decision-making in the Hunter Douglas Board of Directors relating to the transaction. 3G Capital has obtained, subject to customary conditions, fully committed financing for the transaction from reputable global financial institutions along with its existing equity commitments for the consideration payable under the Block Trade Agreement as well as the Buy-Out. As part of the Support Agreement HoldCo has agreed to certain non-financial covenants. Ralph Sonnenberg has committed to vote in favor of the required resolutions at the extraordinary general meeting of Hunter Douglas. It is expected that the block trade and the Asset Sale will close in the first quarter of 2022. Trading Update and Outlook In Q4, consumer confidence and trading conditions remained constructive, and Hunter Douglas expects sales to be in line with Q3. Q4 EBITDA is expected to be between USD 195 – 205 million. The outlook for 2022 is positive, but uncertainties remain as to when consumer discretionary spending will normalize. Hunter Douglas continues to be in a strong position. Assuming continuation of current market conditions, management anticipates delivering full-year 2022 sales and EBITDA growth of mid-single digits percent versus full-year 2021, excluding the impact from acquisitions and divestments, with an EBITDA margin in excess of 18%.
3G CAPITAL TO ACQUIRE CONTROLLING INTEREST IN HUNTER DOUGLAS ROTTERDAM and NEW YORK – December 30, 2021 – Hunter Douglas (AEX: HDG), the global market leader in window coverings and a major manufacturer of architectural products, and 3G Capital, a global investment firm and private partnership, today announced that Ralph Sonnenberg, the controlling shareholder of Hunter Douglas Group, has entered into a definitive agreement to transfer a controlling interest in the Company to 3G Capital based on a value of €175 per Ordinary Share. HUNTER DOUGLAS: FINAL RESULTS OF OFFER; NO SQUEEZE-OUT Rotterdam, 18 June 2021 – Bergson Beheer B.V. (the "Offeror") and Hunter Douglas N.V. ("Hunter Douglas") jointly announce with respect to the offer in the Offer Memorandum of 6 April 2021 (the "Offer"): During the post-acceptance period, 63,516 common shares have been tendered, representing 0.18% of the issued and outstanding common shares and an aggregate value of EUR 5,208,312. Settlement of the shares tendered during the post-acceptance period will occur on 24 June 2021, when the tendering shareholders will be paid the Offer price of EUR 82 per share. After settlement, the Offeror will hold 30,559,366 common shares, representing 87.84% of the common shares, and 34,242,517 preferred shares, together representing 93.59% of the total capital of Hunter Douglas. The Offeror has no present intention to start squeeze-out proceedings (uitkoopprocedure).
Zoals eerder aangegeven denk ik dat 175 Eur een faire prijs is voor HDG, ik heb deze week 60% van mijn HDG aandelen verkocht omdat de upside vanaf nu niet zo groot meer is en ik een relatief groot % HDG in porto had na de verdrievoudiging tov aankoopprijs, dus ook een stukje risicospreiding. Voor de resterende 40% ga ik voor de 175 Euro -:) Nu nog iets proberen te vinden met vergelijkbaar potentieel zoals HDG dat 1-2 jaar geleden had, zal niet makkelijk zijn.
VEB wil diepgaand onderzoek AFM naar bieding Hunter Douglas Belangenbehartiger ontstemd over gang van zaken. (ABM FN-Dow Jones) De Vereniging van Effectenbezitter vraagt de Autoriteit Financiële Makten om een diepgaand onderzoek te doen naar de overname van Hunter Douglas. "Tien maanden geleden wilde Luxaflex-fabrikant Hunter Douglas zijn aandeelhouders uitkopen voor maximaal 82 euro per aandeel. Dat was een faire prijs, zo verzekerde de onderneming. Net voor het einde van het jaar verkocht Hunter Douglas zichzelf echter voor meer dan het dubbele. Aandeelhouders voelen zich belazerd door deze ongekende gang van zaken", aldus de VEB. Aanvankelijk wilde CEO en grootaandeelhouder Ralph Sonnenberg slechts 64 euro per aandeel Hunter Douglas betalen, maar omdat aandeelhouders hier niet warm voor liepen, werd dit bod verhoogd naar 82 euro per aandeel. Zes maanden later haalt 3G de fabrikant van luxaflex van de beurs voor 175 euro per aandeel. 'Gaten in plafond' Het bod is goed nieuws voor aandeelhouders en met name oprichtersfamilie Sonnenberg, die meer dan 90% van het aandelenkapitaal bezit. Gelet hierop was het fiat op de bava een zekerheid. Maar de VEB hoopt dat de Autoriteit Financiële Markten de gang van zaken alsnog onderzoekt. 'Wat hier is gebeurd riekt naar marktmanipulatie', zegt Gerben Everts, telefonisch vanuit Willemstad. De VEB-directeur heeft naar eigen zeggen voor een unicum gezorgd: in twintig jaar tijd was hij de eerste aandeelhouder op een vergadering van Hunter Douglas. Dat gebeurde op een surrealistische locatie. 'Ik sta in een bedrijfsverzamelgebouw op een industrieterrein, waar gaten in muren en plafond zitten', lacht Everts. Omdat Hunter Douglas statutair is gevestigd op Curaçao, vond de bava hier plaats. Naast Everts waren alleen een notulist en een gelegenheidsvoorzitter fysiek aanwezig. Commissarissen belden in via een videoverbinding. Opmerkelijk, aangezien aandeelhouders de bava alleen fysiek bij mochten wonen. Volgens Everts worden zodoende 'kritische geluiden' in de kiem gesmoord. Veelbesproken traject De overname van Hunter Douglas kent een veelbesproken voortraject. Twee jaar geleden trachtte bestuursvoorzitter Ralph Sonnenberg het bedrijf zelf van de beurs te halen, maar zijn bod van €64 - en later €82 - werd weggehoond als 'een fooi'. Hoewel Sonnenberg in theorie de transactie door kon zetten via een uitkoopprocedure, trok hij het bod vorig jaar zomer in. De VEB vindt het opmerkelijk dat Sonnenberg amper een half jaar later een deal heeft gesloten, tegen een fors hogere prijs. Everts: 'Het verschil in waardering is zo groot dat daar een truck doorheen kan rijden. Wij willen weten hoe dat tot stand kwam, en hoe het is gevalideerd.' Volgens de beleggersvereniging valt niet uit te leggen dat Sonnenberg nu casht, mede met de verkoop van stukken die hij goedkoop wist te bemachtigen van kleinere beleggers. 'Te mooi om waar te zijn' Tijdens de bava werden commissarissen van Hunter Douglas, waaronder oud-Heineken-bestuursvoorzitter Anthony Ruys, bevraagd over de overname. Daaruit kwam naar voren dat het eerste contact tussen Sonnenberg en 3G Capital dateert van september, en het bod gepaard ging met voorwaarden. Everts: 'Het moest “snel” gebeuren, en op biedingen van andere partijen mocht niet worden ingegaan. Dat zijn naar mening van de VEB voorwaarden waar commissarissen niet mee in moeten stemmen. Maar volgens deze mannen was het bod te mooi om waar te zijn.' Het is niet de eerste keer dat kritiek wordt geuit op Hunter Douglas-bestuurders. De VEB hekelde eerder dat meerdere actieve commissarissen zitting hadden in een 'absoluut niet onafhankelijk' speciaal comité dat een oordeel moest vellen over de bieding van Sonnenberg. De bava van Hunter Douglas kende een voorspelbare afloop. Alle agendapunten, vier in totaal, werden met een royale meerderheid van stemmen aangenomen. Daarmee kan de overname door 3G Capital doorgang vinden, worden drie nieuwe bestuurders aangewezen en Sonnenberg en twee afzwaaiende commissarissen decharge verleend. Elegant is het natuurlijk niet wat hier is gebeurd maar m.i. is het niet illegaal. Het was volstrekt duidelijk dat de biedingen van 64 Eur en 82 Eur destijds veel te laag waren wanneer je HDG vergeleek met haar peers die toen op een 3 maal zo hoge K/W noteerden. (ca 21-22 tov K/W van 7 a 8 voor HDG). Als je dit combineert met de historie van Sonnenberg dat zij historisch gezien altijd laag inkopen en voor een dubbeltje op de 1e rang willen (en gaan) zitten dan is het erg waarschijnlijk dat je beter in lijn met Sonnenberg handelt (ofwel koopt) en niet aan hem verkoopt. AddValue fund en Jeremy Raper hadden dit als geen ander door en hebben het maximale eruit gehaald net zoals Sonnenberg.....
Is er al bekend op welke termijn 3G Capital het bod gestand zal doen ?
Zoals ik het begrijp levert Sonnenberg zijn aandelen in Q1-2022 obv het persbericht van eind December 2021: " It is expected that the block trade and the Asset Sale will close in the first quarter of 2022" . Nu de aandeelhoudersvergadering achter de rug is zal dit wel lukken in dit kwartaal denk ik. ------------------------------------------------------------------------- Daarna volgen de squeeze out proceedings ofwel buy-out: "The parties to the Support Agreement have agreed that, following consummation of the Block Trade Agreement and completion of the Asset Sale (as described below), statutory squeeze out proceedings in accordance with applicable Curacao law and Hunter Douglas' articles of association will be initiated in respect of any remaining shares in Hunter Douglas (the “Buy-Out”). Is het nu wachten op een uitkoopbod van €175 of blijven we rond de € 172 hangen? Wil er wel vanaf voor € 175.
Ik ben ook benieuwd. Of vinden ze het voorlopig prima zo en houden ze de cash om de rest uit te kopen voorlopig nog even in de zak? Heb het deel waar ik andere investeringen mee wilde doen eerder al verkocht, maar wil nu ook wel van de laatste stukjes af - tegen 175EUR
Ik hoop dat de ( overigens terechte) actie van de VEB de afhandeling niet gaat traineren. Zie inderdaad betere mogelijkheden voor mijn investering.
