Zeker.

Kier Group has set out its restructuring plans and will get back to focusing on its traditional core business of construction and civil engineering. Brighter future ahead for Kier? Brighter future ahead for Kier? It is quitting house-building – Kier Living is up for sale – and getting out of property development because they eat up too much cash. The board has also concluded that the facilities management and environmental services businesses “have limited operational synergies with Kier's core businesses”. This includes the local authority waste collection activities that Kier acquired when it took over May Gurney. Kier says it “will seek to exit these businesses in due course”. As part of the strategic review that was launched last year, around 650 full time employees will have left Kier by the end of June 2019. A further 550 will go in the next financial year. An acceleration of the review was announced when Andrew Davies joined as chief executive in April 2019. The conclusions of the review have been published today. It says: “Kier has a number of high-quality, market-leading businesses, in particular Regional Building, Infrastructure, Utilities and Highways, which are valued by our customers. The performance of these businesses is underpinned by long-term contracts and positions on frameworks for government and regulated clients. Together these businesses are expected to deliver long-term, sustainable revenues and margins and, with a renewed focus on their inherently cash generative characteristics, will be the core activities of the group in the future. “In recent years, the group has grown substantially, including through acquisitions. This strategy added a number of highly attractive businesses to the group, including Highways, Utilities and Rail. However, the strategic review concluded that, during this period, there was insufficient focus on cash generation and that the group today has debt levels that are too high. It also concluded that the group's portfolio is too diverse and contains a number of businesses that are incompatible with the group's new strategy and working capital objectives. “Kier is therefore today announcing a new strategy for the group that will: focus on Regional Building, Infrastructure, Utilities and Highways simplify the group's portfolio by selling or substantially exiting non-core activities: Kier Living, Property, Facilities Management and Environmental Services fundamentally restructure the Group to reduce headcount by c.1,200 and deliver annual cost savings of c.£55m from FY2021 embed a culture of performance excellence with a particular focus on cash generation to deliver reduced average net debt.” The Housing Maintenance and Middle East construction businesses are being kept. Acquisitions made by Kier in recent years have included Mouchel, McNicholas and bits of Stewart Milne, as well as May Gurney. Chief executive Andrew Davies said "Since becoming chief executive on 15th April, I have visited many of our key locations and spent time with all of our businesses, meeting the leadership teams and many of our dedicated people in the process. I have also met with many of our clients. Kier has a number of high-quality, market-leading businesses, in particular Regional Building, Infrastructure, Utilities and Highways. I believe that these businesses will deliver long-term, sustainable revenues and margins and are inherently cash generative. “As previously announced, I have been leading a strategic review which has resulted in the actions being announced today. These actions are focused on resetting the operational structure of Kier, simplifying the portfolio, and emphasising cash generation in order to structurally reduce debt. By making these changes, we will reinforce the foundations from which our core activities can flourish in the future, to the benefit of all of our stakeholders." Kier Living was described as a strong business but with limited operational synergies with other parts of the group and one that requires “significant ongoing funding” to deliver future growth. “The board has therefore determined that Kier Living is non-core and has commenced a process to sell the business,” it said. It has already been getting offers for the business. The board said that the sale of Kier Living would provide financial benefits beyond a reduction in net debt due to the release of associated working capital and a reduction in the use of supply chain financing and off-balance sheet debt.

Bunnik, the Netherlands, 17 June 2019 – Royal BAM Group nv has completed its current share buy-back programme for 4,482,030 ordinary shares as announced on 21 May 2019, to neutralise the dilution effect of the issue of stock dividend and to fulfil its obligations deriving from the performance share plan. In the period from 11 June 2019 up to and including 14 June 2019 813,324 shares were repurchased at an average price of €4.01 per share. The consideration for this repurchase was €3,262,652.49. From 21 May to and including 14 June 2019, the total of 4,482,030 shares were repurchased at an average price of €3.7681 per share for a total consideration of €16,888,892.44.

EU opens investigation into Fehmarnbelt financing An investigation has been launched into whether the public financing model for the Fehmarnbelt road and rail link is in line with European Union rules. The European Commission’s investigation will look into Denmark's public financing model for the fixed rail-road link between Denmark and Germany. The decision to investigate follows the EU General Court's annulment of a previous European Commission’s decision approving support. Commissioner Margrethe Vestager, in charge of competition policy, said: "The Fehmarnbelt link will contribute to the cross-border integration of the two regions it will connect. The Commission previously approved support measures for the financing of the link in 2015, but the Court annulled this decision, finding that the Commission should have opened an in-depth investigation. Today's opening of such an investigation is an invitation for all stakeholders to provide their input, which will allow the Commission to adopt a new, well-informed final decision.” The link is a key element to complete the main north-south route connecting central Europe and the Nordic countries. It includes an undersea tunnel between Rødby on the island of Lolland in Denmark and Puttgarden in Germany and the rail and road connections on land. The tunnel will be approximately 19km long and consist of an electrified, double-track railway and a four-lane motorway. An intergovernmental agreement between Denmark and Germany has mad Denmark the sole owner, bearing the full risk for the financing of the fixed link, as well as for the upgrading of the Danish road and rail connections. Germany is responsible for the financing and upgrading of its own hinterland connections, and is not subject to the Commission's investigation. In Denmark, two public undertakings have been entrusted with the planning, construction and operation of the project: A/S Femern Landanlæg for the Danish hinterland connections and Femern A/S for the fixed link. In July 2015, the Commission approved the public financing model of the Fehmarn Belt fixed rail-road link between Denmark and Germany under EU State aid rules. The Commission considered that the financing measures granted to Femern Landanlæg did not constitute State aid. It also found that it was not necessary to conclude whether the public financing measures granted to Femern A/S for the sole purpose of planning, constructing and operating the Fehmarn Belt fixed rail-road link constituted State aid. This is because they would in any case be in line with EU State aid rules since they promoted the execution of an important project of common European interest. In December 2018, following an appeal against the Commission's 2015 decision by Scandlines and Stena Lines, the General Court partially annulled the Commission's decision on procedural grounds. The General Court confirmed the Commission's decision with respect to the financing granted to Femern Landanlæg for the hinterland connections. However, it found that the Commission should have opened a formal investigation under EU State aid rules to assess the measures granted by Denmark to Femern A/S before adopting its decision.

drop-out gevalletje?
