    Akkoord ArcelorMittal met Europese Commissie over Ilva - media

    (ABM FN-Dow Jones) ArcelorMittal heeft ingestemd met alle voorwaarden van de Europese Commissie bij de overname van de Ilva-fabriek in het Italiaanse Taranto. Dit valt volgens het Italiaanse persbureau ANSA af te lezen uit een notitie van het staalbedrijf op dinsdag.

    De Europese toezichthouder was aanvankelijk bezorgd dat er door de overname minder concurrentie over blijft voor bepaalde staalproducten, waardoor de prijzen mogelijk zullen stijgen.

    ArcelorMittal denkt dat het de komende dagen met betrekking tot de overname ook overeenstemming zal bereiken met de Italiaanse vakbonden, zo meldde ANSA.

    ArcelorMittal confident of ILVA deal in few days - Report

    ANSA reported that ArcelorMittal said that it is confident of reaching a deal with unions on its new environmental clean-up plan for the huge former ILVA steel plant at Taranto in Puglia and would clinch a deal within the next few days. The report quoted a source as saying that “Requests from ILVA's commissioners and accepted by ArcelorMittal only regard the environmental part of the plan. The part relating to jobs and wages is to be covered by negotiations with the unions and government which ArcelorMittal trusts will be opened and finalised in the next few days".

    Earlier, the consortium informed the three extraordinary commissioners that it had accepted all substantive requests for further commitments regarding the lease contract signed in June 2017, as a sign of its bona fides towards reaching a new deal.

    Italian Industry Minister Luigi Di Maio said on Tuesday that the Italian government is opening a formal review of ArcelorMittal’s planned takeover of the Ilva steel company and might annul the accord if irregularities are found.

    At the beginning of July, Luigi Di Maio, the newly appointed Italian minister of economic development, ruled that ArcelorMittal's previous commitments with the former centre-left Italian government were lacking – in terms of the environment and jobs.

    ArcelorMittal's ILVA proposal must improve more - Di Maio

    ANSA reported that Italy’s Labor and industry minister Luigi di Maio said Wednesday that the ArcelorMittal counter-proposal for the ILVA steel plant in Taranto showed progress from an environmental point of view but concerning jobs it is still not satisfactory and must be improved. He also said that checks were being conducted into the regularity of the awarding of the contract for the plant since these are procedures that move forward at the same time, since we must be prepared for any possibility.

    Di Maio had spoken at the Italian House of Representatives on the situation a week before. Di Maio had at that time said the Italo-Indian consortium's previous plan for an environmental clean-up at the highly polluting steel plant was not satisfactory and that we need guarantees from the company that will ensure an environmental improvement as well as guarantees concerning employment.

    ArcelorMittal issued a statement saying that it had taken part in the bidding process in good faith and that it was confident that it would be able to complete the transaction and implement its industrial, social and environmental plans. It added that it aimed to restore Ilva to the top of the European steel industry.

    Italian authorities may cancel tender for Ilva won by ArcelorMittal - Report

    Reuters reported that Italian authorities have started an investigation that might result in the cancellation of the tender for sale of steelmaker Ilva, which was won by ArcelorMittal. Ministry of economic development said “Following internal checks of the Ilva dossier, and [in light of] the opinion provided by ANAC, it was established that there are the conditions to start an administrative procedure aimed at the possible cancellation of the tender awarded in compliance with a decree of June 5, 2017.’

    Italy’s minister for economic development, Luigi Di Maio, said “The investigative procedure will take as long as 30 days. And it is necessary to ascertain facts as a result of crucial issues that have emerged.’

    AM Investco, a consortium led by ArcelorMittal, agreed to purchase Ilva in late May last year, and the sale was approved by Italian authorities in early June 2017.

    ArcelorMittal declined to comment on the issue at the time of publication, because Di Maio and the company’s management were scheduled to meet in the afternoon of July 25. After that meeting, ArcelorMittal issued the following statement: “We can confirm we met Minister Di Maio this afternoon to discuss our additional proposals, which reflect our commitment to the rehabilitation of Ilva, and in particular addressing its environmental and social challenges. We have participated in this tender in good faith and remain hopeful that we will be able to complete the transaction soon and start to implement the industrial, social and environmental plans aimed at repositioning Ilva as one of Europe's premier steel facilities.’

    Earlier this week, ArcelorMittal informed the Extraordinary Commissioners responsible for Ilva that it “accepted all the substantive requests for additional commitments with respect to the lease and purchase contract signed in June 2017.”

    In early May this year, the European Commission conditionally approved the acquisition, dependent on an extensive package of divestments proposed by ArcelorMittal to preserve effective competition in the European steel market.

He said "I asked ArcelorMittal for improvements in the environment and jobs level and, as far as I'm concerned, they are not yet satisfactory.’

    The minister has said there were irregularities that saw ArcelorMittal get the OK for a takeover under the previous centre-left government.

    Di Maio, the leader of the anti-establishment 5-Star Movement (M5S), has threatened to block the takeover of the company, which is in the hands of government-appointed administrators after being at the centre of environmental scandal linked to high cancer rates in the Taranto area.

    ArcelorMittal (NYSE:MT) says it has presented additional commitments to Italian authorities to allow its takeover of Italian steelmaker Ilva, including concerns for environmental performance, social engagement and strategic measures.

    The new measures also include a €10M investment in R&D; cuts to carbon dioxide emissions, dust and dioxins; and a €1M annual investment over five years to support the local community.

    MT's initial plan included spending €2.3B ($2.7B) to boost Ilva's safety conditions and to curb pollution, while cutting 4K out of 14K jobs; Ilva currently produces 12K-13K metric tons/day of crude steel using three operating blast furnaces out of five total.

    ArcelorMittal offers more commitments to Italian government for Ilva takeover

    London — ArcelorMittal has presented additional commitments to Italian authorities to allow its takeover of Italian steelmaker Ilva, which include concerns for environmental performance, social engagement and strategic measures, ArcelorMittal said Monday.

    ArcelorMittal committed to promote the engagement of local suppliers where possible and pay all suppliers in full and on time. The group will also implement circular economy strategies and policies in its production processes, including maximizing the utilization of recovered secondary products in the form of process gases, scrap metals and slag, it said in a statement.

    The additional measures also include a Eur10 million investment in R&D and cuts to C02 emissions, dust and dioxins.

    ArcelorMittal will also invest Eur1 million annually over five years to support the local community.

    "The critical element is implementation: the sooner we can begin implementing these initiatives the sooner we will deliver the improvements that are required by the Ilva business and its stakeholders," said Geert Van Poelvoorde, CEO of ArcelorMittal Europe Flat Products. "We remain optimistic about progressing the final stages of the transaction, including the successful conclusion to negotiations with Ilva's unions, and to completing the acquisition as soon as possible."

    ArcelorMittal signed the lease and purchase agreement to buy Ilva in June 2017, but the Five Star Movement -- part of the new Italian government -- was an avid opponent of the deal during elections this March. The government started an investigation into the tender process last week after the after the Italian anti-corruption body Anac sent its investigation report back regarding the sale of Ilva.

    ArcelorMittal's initial plan was to spend Eur2.3 billion ($2.7 billion) to boost the steelmaker's safety conditions and to curb pollution, while cutting 4,000 out of 14,000 jobs. Ilva currently produces 12,000-13,000 mt/d of crude steel using three operating blast furnaces (out of five total).

    ArcelorMittal said it plans to raise Ilva's output to 6 million mt/year of crude steel, up from 4.5 million mt currently, and to gradually increase annual production to 7 million mt/year.

    Ilva steelworks to run out of cash in September - Commissioners

    Reuters reported that commissioners told parliament that Italian steelmaker Ilva, which is in state-supervised special administration, has enough money in its coffers to keep going until next month. The commissioners tasked with running Ilva told parliament on Wednesday that time was running out for the company without a fresh injection of capital. They said “Our financial forecast estimates that cash will run out in September 2018. EUR 41 million would be needed in October, with this figure rising to EUR 81 million in November and EUR 132 million by the end of 2018.”

    Steel giant ArcelorMittal agreed last year to buy Ilva, Europe’s largest steelworks, and had been due to take it over on July 1, but the transfer was delayed and the newly installed government has called on the firm to improve its takeover offer. At the same time, the government has asked for a review to see if the original tender for Ilva was legal.

    ANSA reported that Taranto Mayor Rinaldo Melucci and other interested first citizens said Thursday that they were satisfied with ArcelorMittal's plan to take over ILVA and its troubled steel plant in the southern city. Melucci and the other mayors affected by the ILVA crisis said that they considered ArcelorMittal's proposal to be "an economically and technically possible scenario, a balance with the needs of the community that has never been seen before, given that ILVA has been in Taranto for over 50 years".

    Last week Labor and Industry minister Luigi di Maio said that the ArcelorMittal revised plan was still not good enough in terms of guarantees for the environment and jobs.

    ANSA reported that Labour and Industry Minister and Deputy Premier Luigi di Maio said that he was still not satisfied with ArcelorMittal's plan to take over ILVA and its troubled Taranto steel plant after a meeting on Monday. Di Maio, the leader of the anti-establishment 5-Star Movement (M5S), who had called on ArcelorMittal to give more guarantees for the environment and jobs said "It is clear that this jobs plan cannot satisfy our demands. ArcelorMittal had not made steps forward. ArcelorMittal must show signs a life and tell us if it will move from the figures agreed with former (industry) minister (Carlo) Calenda and then perhaps we can start talking again.”

    He said new talks could take place this week if the plan is improved. But he also said that he would seek the opinion of the State advocate's office on annulling the competition via which Arcelor Mittal landed ILVA.

    Italian metalworkers union FIOM on Monday called on the government to clarify its position on ILVA. FIOM chief Francesca Re David said “It is unthinkable that at the end of the negotiations there can be even one redundancy. The government should go beyond saying that Mittal's employment plan is not sufficient and clarify its point of view on jobs and the rights (of workers).”

    Referred ILVA case to attorney general - Di Maio

    ANSA reported that Italy’s Labour and Industry Minister and Deputy Premier Luigi Di Maio said Wednesday that he had asked the attorney general's office to give an opinion on whether the process via which ArcelorMittal got the green light to take over ILVA and its troubled Taranto steel plant should be annulled. Di Maio told La7 television “His letter to the attorney general's office requested an opinion on the effective existence of reasons of public interest to legitimize an eventual annulment. It will be up to the law to tell me what I have to do.”

    He said "Di Maio won't decide. It will be up to the attorney general's office to say whether the conditions are there to revoke the procedure. Then a decision will be taken and I think the days around the August 15 national holiday will be interesting.”

    Ilva tender may be illegitimate - Mr Di Maio

    Reuters reported that Italian Industry Minister Mr Luigi Di Maio, citing an opinion by the state lawyers, said on Wednesday the tender to sell the Ilva steel plant to industry giant ArcelorMittal may have been illegitimate. Mr Di Maio, who is also deputy prime minister, requested the opinion from the state lawyers after Italy’s anti-corruption authority (ANAC) had said the way the tender was conducted seemed to present some possible irregularities. Di Maio said in a statement that “The lawyers had confirmed the problems posed by ANAC and raised new fundamental elements that lead to the suspicion that the tender was illegitimate.”

    However, Italian newspapers are reporting the deal seems to be legally adequate after Italy's Avvocatura di Stato, which provides legal advice to the government, reportedly concluded that while there were legal issues with the sale of Ilva, they were not enough to invalidate the deal.

    This would leave it up to the Italian government on whether to cancel the deal or not.

    ArcelorMittal won a tender to buy Ilva in 2017 and had been due to take over the ailing firm in July, but Italy’s new anti-establishment government has delayed the process, putting the sale on hold until September 15.

    Mittal heeft wel de vraag uitstaan of de overheid niet kan bijdragen in steun v.w.b. werkgelegenheid, dit om tot overeenstemming te komen met de bonden. Dit is natuurlijk heel slim van Mittal. Di Maio (5 sterren) die een meerderheid van stemmen uit het zuiden kreeg om ILVA te helpen, kan nu niets doen aan de procedure doch kan de regio op deze manier wel helpen met steun, waardoor hij zijn achterban rustig houdt.

    Hierdoor lijkt het plan B overbodig: Overname van ILVA door C.D.P of Invitalia. (Cassa Depositi e Prestiti). Dit is een Newco waarin de overheid een financieel meerderheidsbelang heeft, doch GEEN zeggenschap.
    Deze Newco valt niet onder de wet openbaar bestuur.

    Kortom er gloort licht aan de horizon. Want reken erop dat mocht het niet doorgaan AM een flinke tegenslag ondervind in zijn meerjaren plan 2020. Het heeft in zijn plannen rekening gehouden met de overname van ILVA om de uitbreiding van koolstofstaal (automotive sector), maar vooral ook om op de Italiaanse (Turkse/oosterse) staalmarkt te komen. Door mislukken van deze strategie zou een aantal eerdere beslissingen negatief uitvallen. Dit zijn de sluiting van oudere primaire fabrieken, afbouw van gietcapaciteit Spanje en Frankrijk! Dit zijn NIET de door de EU gevraagde capaciteits beperkingen, doch eerdere sluitingen. Kortom de gehele lijn zou moeten worden herzien. Dit nog afgezien van het gezichtsverlies van Mittal als de grootste staalmaker.

    Gelukkig lijkt dit niet te gebeuren, koers kan weer terug naar de 28 euro.

He said on the opinion from the State attorney-general's office "If a company were to ask us to take part in the tender, and there were reasons of opportunity, we might revoke the tender. Mittal has always been in good faith. The State committed the perfect crime by creating a procedure full of flaws and illegalities.”

    Scrapping ILVA tender still on cards - Mr Di Maio

    ANSA quoted Industry Minister Luigi Di Maio as saying that scrapping the ILVA tender won by ArcelorMittal is still on the cards. Mr Maio said that "We are still verifying the public interest. The issue of scrapping the tender is not closed. ArcelorMittal have done well and in good faith but the State has made a mess.”

    Di Maio said "the talks with the trade unions will go on and I will be at the table".

    The minister, who is also the leader of the anti-establishment 5-Star Movement, said an assessment of the case by the attorney general's office would be made public by September 7.

    The consortium is set to take over the troubled steel group with its Taranto plant, the biggest in Europe, but must drive a final deal on lay-offs with trade unions.

    ANSA reported that Italy’s Centre-left Democratic Party (PD) leader Maurizio Martina said outside the ILVA steel plant gates in Taranto Wednesday that the city, families and workers deserved serious answers and not propaganda. He said "We have guaranteed the continuity of production in these years safeguarding jobs, albeit in a very delicate situation. The government should stop wasting time. Protection of the environment, health and jobs demand precise responsibilities and choices. We join the initiative of the trade unions and the firm because now there is no longer any time for delays".

    The government has challenged ArcelorMittal's plan to clean up and save jobs at the polluting plant, which is the largest in Europe. It says the consortium must save more jobs.

    Worker unions call ILVA strike on Sep 11

    ANSA reported that 4 unions called a strike September 11 at the ILVA steel works in Taranto and other ILVA factories in protest at not having been called to talks by the government on the takeover of the plant by ArcelorMittal. The statement was co-signed by Fim-Cisl, Fiom-Cgil, Uilm and Usb. They said “Since August 6, we have awaited news on the resumption of negotiations and the Italian ministry’s assessment that the Ilva tender is legitimate. On Monday August 27, we unanimously urged the Italian government to convene all the parties and, to date, we have not yet received a reply.”

    The unions reiterated their view that Ilva was at risk of being closed down because it will run out of funds in mid-September this year unless the country’s government speeds up the sale process.

    The decision to strike comes amid continued uncertainty over the future of the flat steel producer, after Luigi Di Maio, Italy’s minister for economic development, said on August 22 that the tender for the sale of Ilva might be not be valid.

    ANSA reported that Industry and Labour Minister Luigi Di Maio convened trade unions for September 5 to discuss troubled steelmaker ILVA and its takeover by Arcelor Mittal. It was not immediately known whether this would avert a September 11 strike the unions called for not being consulted earlier.

    ILVA's polluting Taranto plant, the largest steelworks in Europe, is set for a clean-up and about 4,000 redundancies under ArcelorMittal's plan.

    The government and unions want the consortium to cut the redundancies.

    (ABM FN-Dow Jones) ArcelorMittal heeft met de Italiaanse vakbonden een akkoord weten te bereiken rondom een sociaal plan voor het personeel van Ilva, de staalfabriek die Arcelor wil inlijven. Dit heeft persbureau Reuters donderdag gemeld op basis van mededelingen door de Italiaanse vice-premier Luigi Di Maio.

    Die gaf aan dat de regeering er als gevolg van de deal met de bonden geen reden meer ziet de transactie te blokkeren. "De overeenkomst betekent dat het niet in hete publieke belang is om de overname tegen te houden", aldus de vice-premier.

    De staalreus heeft volgens Reuters met de bonden overeenstemming bereikt over de afvloeiing van 2.800 van de in totaal 13.500 werknemers bij Ilva waar het bedrijf in maart 2017 het hoogste bod van 1,6 miljard euro op deed.

    Voor deze personeelsreductie wordt volgens Reuters 250 miljoen euro vrijgemaakt.

    Van overheidswege werd destijds bezwaar gemaakt tegen de deal, maar de overeenkomst van vandaag neemt nu de mogelijkheid om de acquisitie te blokkeren door Rome weg.

    Ilva kwam een tijd gelden in problemen en stond op het punt om zonder geld te komen te zitten.

    Het aandeel ArcelorMittal noteerde donderdag op een rood Damrak 0,8 procent hoger op 25,04 euro.
