    Beursgang Adyen goed voor 947 miljoen euro

    (ABM FN-Dow Jones) De overtoewijzingsoptie van de beursgang van Adyen is volledig uitgeoefend, waardoor de opbrengst steeg 947 miljoen euro. Dit maakte de beursnieuweling donderdag bekend.

    In de overtoewijzigingsoptie werden nog eens 407.608 aandelen Adyen verkocht aan de begeleidende banken.

    De aandelen Adyen gingen voor 240,00 euro naar de beurs. Donderdag sloot het aandeel op 438,00 euro.

    Turbo's e.d. vind ik te listig in zo'n soort situatie. Heb dr veel ervaring mee .. hele positieve zelfs, nu ff niet .. dus handje aandelen op €438 :-)
    Had met limiet inliggen en zelf niet gedacht dat ze zouden gaan ... op 't nippertje dus. Morgen weer een dag, waarop het kan vriezen of dooien ...

    Further details on the Offering

    The total number of Offer Shares is 3,537,754 Shares (prior to exercise of the Over-Allotment Option), which represents c.12.0% of the Company’s issued and outstanding share capital. Including full exercise of the Over-Allotment Option, the total number of Shares offered would increase by 407,608 Shares to 3,945,362 Shares, representing c.13.4% of the Adyen’s issued and outstanding share capital.

    The Company, Shareholders and members of the management board have entered into customary lock-up arrangements with the underwriters, restricting their ability to issue, sell or transfer Shares for a period of 180 days after the Settlement Date.

    Morgan Stanley & Co. International plc and J.P. Morgan Securities plc acted as Joint Global Coordinators and Joint Bookrunners for the Offering. ABN AMRO Bank N.V., BofA Merrill Lynch and Citigroup Global Markets Limited acted as Joint Bookrunners (altogether the “Managers”). J.P. Morgan Securities plc is acting as stabilization agent on behalf of the Managers.

    Full information about the Offering and the Listing is included in the prospectus which is published on Adyen’s website, www.adyen.com/ir.

    Over-Allotment Option

    The Joint Global Coordinators on behalf of the Managers have been granted an Over-Allotment Option of up to 11.5% of the Offer Shares (representing up to 407,608 Shares) by the Selling Shareholders. The Over-Allotment Option can be exercised within 30 calendar days of the First Trading Date to cover short positions, if any, in connection with the Offering. If the Over-Allotment option is exercised in full, the free float will increase to 13.4%.

    Stabilization

    In connection with the Offering, J.P. Morgan Securities plc as stabilization agent, or any of its agents or affiliates, on behalf of the Managers may (but will be under no obligation to), to the extent permitted by applicable law, over-allot Shares and effect other transactions to maintain the market price of the Shares at a higher level than that which might otherwise prevail in the open market. The Joint Global Coordinators, on behalf of the Managers may, for stabilization purposes, over-allot Shares up to a maximum of 11.5% of the total number of Shares comprised in the Offering. The stabilization agent will not be required to enter into such stabilizing transactions and such transactions may be effected on any securities market, over-the-counter market, stock exchange or otherwise, and may be undertaken at any time during the period from the date of the commencement of conditional dealings of the Shares on Euronext Amsterdam and ending no later than 30 calendar days thereafter. However, there will be no obligation on the stabilization agent or any of its agents or affiliates to effect stabilizing transactions and there is no assurance that stabilizing transactions will be undertaken. Stabilization, if commenced, may be discontinued at any time without prior notice. In no event will measures be taken with the intention of stabilizing the market price of the Shares above the offer price. Except as required by law or regulation, neither the stabilization agent nor any of its agents or affiliates intends to disclose the extent of any over-allotments made and/or stabilization transactions conducted in relation to the Offering.

    Pieter's message to employees

    June 12, 2018

    To everyone on the Adyen team,

    Tomorrow, Adyen will be a listed company.

    Eleven years ago, we processed our first transaction. That same year, we also raised our first capital from external investors.

    Tomorrow, we will issue no new shares – all we will really do is welcome on board new shareholders and give existing, external, shareholders the flexibility that they are looking for. We could have pursued alternative means of offering this flexibility, such as a partial sale to a private equity shareholder, or a strategic sale of the company. We decided against that as we want to build the company for the long term. This path will allow us to do just that – as an independent company.

    We won’t be ringing the bell – or sounding the gong – tomorrow. While it’s definitely important to celebrate successes, investor liquidity is not something we celebrate. It does in itself not impact Adyen. That’s why everyone will be in the office tomorrow – working. This process has proven to be a minimal distraction to the company, which is a great testament to the work put in.

    We celebrate other things, because we’re passionate about other things: new merchants that we board, new functionality that we build and new regions that we unlock. Those are worth celebrating. And we are passionate about protecting the freedom within Adyen - the trust we put in each other is what makes us excel.

    Although I am proud that we are now in the position to list on the public market – there are other aspects of Adyen that I am far more proud of. I’m proud of being able to work with this talented team, with the Adyen Formula in mind. I’m proud of our commercial success, of the quality of our engineers, of our systems and of our execution.

    Every year, we acknowledge the work we have put in and throw a party and celebrate with everyone from our 15 offices around the world – like we did last Friday.

    Tomorrow will put us on a larger stage. A stage that you deserve. I feel very lucky to be building Adyen together with all of you. I’m sure that we will look back at this in the future and realize that this was only the beginning.

    The IPO will only help us to continue to do what we are doing now: helping our merchants grow and reshaping the payments industry.

    koers explosief gestegen pal na opening, voor de elite institutionele beleggers (oa mabel wisse van Oranje), de kleine man had geen schijn van kans op deelname (waren met opzet uitgesloten middels allerlei *&$%^&*-smoesjes), en nu de kleine man mag deelnemen (centen investeren) kunnen de grote institutionele beleggers oogsten (en dus de kleine man kaal plukken, daar komt het op neer) Ten minste als je daar intrapt. Door gestoken kaart lijkt het op.
    De rijken die zich ten koste van de kleinere beleggers nog verder willen verrijken.

    die indruk krijg ik heel erg sterk.

    Mabel heeft haar aandelen VERKOCHT voor 240 euro.

    Vergeleken met Tesla, Amazon, Snapchat en Twitter is Adyen nog steeds een koopje.

    Grote buitenlandse beleggers willen dolgraag een groot belang nemen.

    juist de kleine beleggers deden de koers op de eerste dag exploderen door hun hebzucht. de oud aandeelhouders verkochten op een vooraf door een consortium van banken afgesproken prijs. dat er besloten is om alleen aan institutionele beleggers te verkopen is hun volste recht. Hadden ze bij de introductie NIBC ook kunnen doen, hadden de mensen die nu lopen te schelden staan te lachen. Het is ook nooit goed.

    Daarom gisteren op het slot maar een plukje aandelen gekocht en ff aankijken ;-)
