With respect to the initial announcement on 22 September of OCI's contemplated combination with Orascom Construction, please note that the companies are still in early stages of reciprocal due diligence, and discussions to agree on both the optimal deal structure and transaction economics are ongoing.
With regards the currently contemplated structure, whilst we have stated that there is no legal requirement to offer a cash component (reattaching transcript from our H1 earnings call), please note that this structure remains under evaluation by the OCI board and its advisors, and any transaction will ultimately be subject to the board's and shareholder approval from both companies.
Finally, we understand that some existing shareholders may currently be unable to receive or hold ADX listed stock. Whilst we are not in a position to share definitive information on structure specifics and logistics at this time, please be assured that we are aware of these concerns and are exploring possible solutions for shareholders in this situation, to the extent possible. We would reiterate that the transaction structure is still to be finalised and separately agreed on, and once we have finalised our capital markets assessment and arrangements, we expect to share more information.
