Als zoeken op ISIN code geen resultaten oplevert hebben wij het instrument of aandeel niet in onze koersendatabase.

    Amsterdam, 8 March 2013 – The Supervisory Board will propose to the Annual General Meeting of TomTom NV (the 'AGM'), to be held on 23 April 2013, the appointment of Toine van Laack as new member of the Supervisory Board. Toine van Laack is currently managing director of Janivo Holding BV and serves as member of the supervisory boards of Nidera BV and Hespri Holding BV. The Supervisory Board will also propose to the AGM the reappointment of Harold Goddijn and Marina Wyatt as members of the Management Board and the reappointment of Peter Wakkie as member of the Supervisory Board. In accordance with the Dutch corporate governance code, the term of the appointments will be four years. The appointments should become effective as of 23 April 2013.

    The Management Board will propose to the AGM to grant to the Stichting Continuïteit TomTom the right to subscribe for additional preferred shares up to 100% (currently 50%) of the aggregate nominal value of the outstanding ordinary shares. Once adopted by the AGM, the Management Board will waive its rights under its existing authority to issue preferred shares or to grant rights to subscribe for preferred shares equal to 50% of the aggregate nominal value of the outstanding ordinary shares. Details on this simplification of the protection mechanism and other voting items of TomTom's 2013 Annual General Meeting can be found in the agenda and explanatory notes which are available on our corporate website (http://corporate.tomtom.com/agm.cfm) as of today.

    Leuke spike inderdaad, 200K omzet in eerste 10 minuten, de shorters gaan uitgerookt worden, het keren van de posities gaat met zware volumes plaatsvinden....

    Beschermingsmechanisme wordt sterker. Konden eerst 50% verwateren, nu dus 100%.

    Het is inderdaad een versimpeling van een reeds bestaande beschermingsconstructie tegen vijandige overname.

    Lees de Nederlandse toelichting, onder punt 11

    Overigens lees ik daarin dat het recht van de RvB om 50% preferente aandelen uit te geven verschuift naar de -onafhakelijke- stichting continuiteit TomTom.

    Dat maakt volgens mij een buy out door de RvB eerder moeilijker dan makkelijker.
